Representations and warranties

The Pledgor represents to the Pledgee that: the grant, execution and performance of this Agreement by it as well as the security contemplated under this agreement is in its interest; it has full legal title and is the sole owner and lawful holder of the Product; the Product have all the rights, interests, benefits and advantages of any kind derived from the law and are free of any pledges, liens or encumbrances (“onus”) other than any Permitted Security;
