On se dit parfois que le marketing a vraiment de l’imagination... et que c’est tant mieux pour nous tous. On apprend ainsi que le vénérable catalogue de vente par correspondance Les 3 Suisses nous propose pour le printemps-été 2013 une collection "capsule" mode et maison imaginée par… Thierry Marx. Oui, le Thierry Marx des fourneaux et des pianos.
Voilà qui tranche avec les habitudes du VéAdiste qui, chaque saison, invite des stylistes un pointus, mais reconnus par leurs pairs, histoire de gagner un peu en "fashion credibility". Accompagné dans cette expérience par la photographe Mathilde de L’Ecotais, le master chef étoilé propose une collection de vêtements inspirés du Japon. Pourquoi pas. Soit des robes modulables, des kimonos réversibles, des T-shirt imprimés et des sacs à dos transformables en cabas. Il y aussi, rassurons-nous, des maniques, des torchons et des nappes imprimées…
L’initiative mérite attention. Elle vient d’abord nous rappeler l’obligation d’étonnement à laquelle doivent désormais répondre les marques. Puisque tous les besoins sont satisfaits et que toutes les offres se ressemblent, quels meilleurs ingrédients que la bizarrerie, l’inattendu, le décalé pour attirer l’attention ?
Elle vient aussi nous susurrer que la question de la légitimité est de moins en moins… légitime. C’est désormais l’envie qui prime, comme si l’énergie s’était substituée au savoir-faire.
Elle est enfin la preuve de la consécration de la curation dans la démarche marketing. Si, pendant longtemps, les marques faisaient appel aux people en se contentant de leur demander de "poser" auprès d’elles, les voilà aujourd’hui qui les incitent à imaginer des propositions en les emmenant vers de nouveaux univers.
Il ne s’agit plus pour eux de se contenter d’être mais, désormais, de faire. Une nouvelle mission pour les marques est née.

Puisque les chefs mettent un pied dans la mode, pourquoi l’alimentaire ne solliciterait-il pas davantage l’apport des créateurs ?

And so we learn that the venerable mail order catalogue, Les 3 Suisses, is offering a home and fashion “capsule” collection, in its Spring-Summer 2013 edition, designed by... Thierry Marx. This is a break in tradition for a mail order company that is used to inviting cutting edge designers, recognised only by their peers, each season: all for the sake of a little “fashion credibility”. Accompanied in this experiment by photographer, Mathilde de L’Ecotais, the Michelin-starred master chef is offering a clothing collection inspired by Japan. Why not, indeed? You’ll be seeing modular dresses, reversible kimonos, printed T-shirts and rucksacks that can change into shopping bags. Let’s reassure you that there are also oven gloves, kitchen towels and printed tablecloths...
The initiative deserves attention. Firstly, it reminds us about the wow factor that brands need to supply nowadays. Since every need is now satisfied and all offers look the same, what better ingredients could you have than the bizarre, the unexpected and the quirky to attract attention?
It also lightly suggests that the question of legitimacy is less and less... legitimate. Nowadays, it is desire that leads the way: it’s as if energy had taken the place of savoir-faire.
Finally, it is proof that content curation has become an established part of the marketing approach. For a long time, brands were happy enough calling up celebrities to “pose” for them. However, now they are pushing them to dream up ideas whilst taking them into new universes.
They are no longer content with just being; nowadays, it’s all about doing. A new mission is born for the brands.
Conclusion:
Since chefs are stepping into the fashion world, why shouldn’t the food world look more to designers for contributions?

Noter facilement un rendez-vous, un numéro de téléphone ou encore son prénom. Voici ce qu’il est désormais possible de faire sur l’étiquette de la bouteille 50 cl de Wattwiller, ainsi devenue une sorte de post-it ambulant utilisable avec n’importe quel stylo... Un avantage bien pratique et une première, apportée par la petite marque d’eau minérale issue du parc National des Ballons des Vosges, en Alsace.
Ici, l’originalité vient de ce qu’il ne s’agit pas de conserver un packaging vide pour le dédier à un nouvelle destination (comme ont pu, un temps, le faire les barils de lessive ou les pots de yaourts), mais plutôt d’associer un packaging "vivant" à de nouveaux usages et à de nouvelles habitudes.
Une belle illustration de ce que peut être le design aujourd’hui : pas seulement une réflexion sur les formes, les couleurs ou les fonctions des produits, mais aussi sur les modes de vie des consommateurs et la manière de les accompagner.
Le design pour suggérer des scénarios de vie. L’opportunité pour les marques d’étonner leurs consommateurs habituels en leur proposant une nouvelle relation avec leurs produits, un nouveau regard, autant que de s’assurer auprès d’eux une présence plus pérenne.
Wattwiller sort ainsi son eau des habituelles promesses d’équilibre et de pureté pour la placer dans le registre du pratique et de la quotidienneté. Après la poignée pour porter la bouteille, place à la bouteille "pense-bête". Pourquoi un produit devrait-il toujours rester dans son univers de consommation ?
So What ?
Les produits technologiques, les meubles et mêmes certains vêtements sont multi-fonctions : pourquoi ne pas élargir cette promesse aux packagings des produits alimentaires ?

Making an easy note of a meeting, a phone number or even one’s first name can now be done on the label of a 500ml bottle of Wattwiller: this has now become a sort of walking Post-it note that you can use with any pen... A very practical advantage and a first, brought to us by the small mineral water brand, based in the Parc National des Ballons des Vosges, in Alsace.
In this case, the originality does not come from the idea of keeping empty packaging so as to use it for something else (like we used to do, at one time, with washing powder containers or yoghurt pots), but rather from the association of “living” packaging with new uses and new habits.
This is a beautiful illustration of what design can be today: not only a reflection on shapes, colours or product functions, but also on consumer lifestyles and the way to accompany them.
This is design for suggesting life’s scenarios. It is an opportunity for brands to surprise their regular consumers by proposing a new relationship with their products, a new angle, as well as ensuring a longer lasting presence of their own with the consumer.
In this way, Wattwiller has taken its water away from the habitual promises of balance and purity and placed it in the realm of practicality and daily life. First came the handgrip for holding the bottle; now the “notepad” has taken its place. Why should a product always remain in its consumer universe?
Conclusion:
Technological products, furniture and, even, certain clothes are multifunctional: why not extend this promise to food product packaging?

C’est une expérience inédite, alliant le gustatif et l’olfactif, que nous propose aujourd’hui le pâtissier Pierre Hermé puisque sa dernière création, la tarte Pêche, Rose & Cumin a été inspirée par le grand classique de la parfumerie de 1944, "Femme" de Rochas…. Une démarche qui a conduit à une collaboration de plus de trois années entre le pâtissier et le nez de Rochas, Jean-Michel Duriez… A déguster accompagné de tous ses sens…
Partant d’une base de chypre fruité, "Femme" se développe sur des notes de rose et de pêche qui se mêlent ensuite au patchouli et aux épices, associées à la prune, au jasmin, à la mousse de chêne, ou encore au santal. Ce sont ces saveurs fruitées et épicées qui ont constitué le travail de fond de ce nouveau plaisir des papilles proposé par Pierre Hermé.
Une convergence (inattendue) des mondes de la pâtisserie et des parfums qui vient d’abord nous rappeler qu’aujourd’hui, innover, c’est chercher à se rapprocher d’univers éloignés du sien. Pour bénéficier de nouveaux regards, de nouveaux savoir-faire autant que de nouveaux imaginaires.
Rapprocher la pâtisserie de l’univers de la parfumerie, c’est aussi attirer l’attention (et les sens) sur la qualité des ingrédients choisis, manière de souligner la maîtrise et la singularité de son auteur.
Enfin, en collaborant avec un nez, Pierre Hermé peut s’approprier toutes les références de l’univers de la parfumerie, son vocabulaire précis et sophistiqué, ses intentions, ses volontés de rencontres, pour qualifier ses créations. De nouvelles voies d’accès à l’alimentaire se laissent ici entrevoir, hyper émotionnelles, presque poétiques.
Jamais manger n’aura autant fait ressentir.

Pastry chef, Pierre Hermé, is today offering us a novel experience, combining taste and smell: his latest creation, the Peach, Rose and Cumin tart has been inspired by the great classic 1944 fragrance, “Femme” by Rochas... a step that has led to a joint collaboration between the pastry chef and the Rochas nose, Jean-Michel Duriez, for more than three years... Tasting accompanied by all your senses...
From a base of fruity chypre, “Femme” progresses to peach and rose notes which then become mingled with patchouli and spices, with hints of plum, jasmine, oakmoss and, even, sandalwood. It was these fruity and spicy flavours that formed the core work in Pierre Hermé’s new tastebud-pleasuring product.
This is a convergence (unexpected) of the pastry and perfume worlds reminding us firstly that, nowadays, innovation is about trying to get closer to worlds far away from our own. In this way we can benefit from new exposure, new savoir-faire as well as new imaginations.
Closing the gap between the perfume and pastry worlds also means attracting attention (and the senses) to the quality of the ingredients chosen: one way of emphasising the mastery and singularity of the creator.
Finally, by working with a nose, Pierre Hermé is able to make all references from the world of perfume his own, as well as its precise and sophisticated wording, its intentions, its desires for romantic engagements: these will stamp their mark on his creations. "Je suis bien en train de rechercher des partenaires pour se joindre à mon idée de souk culturel". C’est par ces mots que Patrick Zelnik, patron de Naïve, et ancien président de Virgin France, a annoncé sa volonté de reprendre l’enseigne culturelle Virgin en dépôt de bilan. Selon lui, il serait devenu urgent de repenser le commerce des biens culturels sous peine de le voir disparaître de nos villes. Et pour y parvenir, réussir à concevoir des lieux qui ne soient plus seulement des lieux de distribution, mais aussi (et surtout) des lieux d’échanges.
Le souk comme nouveau modèle de distribution, voilà qui vient apporter un peu d’air frais dans un environnement balisé par les têtes de gondoles, les rotations et la rentabilité au mètre carré.
Imaginer un souk, c’est partir de l’expérience-client et non des linéaires. C’est reconnaître que le plaisir d’acheter est aussi important que le désir de faire une bonne affaire. Se promener, échanger des points de vue, s’amuser, être surpris et même, pourquoi pas, jouer à marchander, voilà ce que permet le souk. Il y a les magasins où l’on vend et ceux où l’on achète. Nuance.
Plus concrètement, Zelnik explique vouloir mêler dans un même magasin, CD, DVD et boutiques exploitées par des marques, rayons livres, salles de cinéma et restaurants. Un projet parfaitement adapté au flagship des Champs-Elysées précise-t-il, avant de rappeler, pour preuve de ses intuitions, être toujours "sidéré par le nombre de visiteurs qui se pressent au moment de Noël autour des petits chalets de bois installés sur les Champs-Elysées... à quelques pas du Virgin Megastore".
Si le sentiment de crise accroît la tension sur les prix, elle rend aussi plus nécessaire que jamais le besoin de s’échapper de son quotidien. Foisonnement, palpitation, voire un peu d'improvisation, ne peuvent qu’y concourir.

“I’m currently on the lookout for partners to team up with me and my cultural souk idea”. These were the words Patrick Zelnik, director of Naïve and former president of Virgin France, used to announce his wish to reclaim the cultural brand of bankrupt Virgin. According to him, rethinking the trade in cultural goods before this disappears from our cities has become a matter of urgency. And to accomplish this, we’ll have to successfully design places that are no longer simply places of distribution, but also (and above all) places of exchange.
How about the souk as a new distribution model? This new idea has breathed a bit of fresh air into an environment characterised by end displays, stock rotation and profit per square metre.
The image of a souk starts with the customer’s experience, not with supermarket shelves. In it, we recognise that the pleasure of buying is as important as the desire to get a good deal. Having a stroll, exchanging points of view, having fun, being surprised and why not, even, having a go at haggling: this is what the souk brings us. There are shops where they do the selling and shops where you do the buying. It’s that little difference.
To put it bluntly, Zelnik explains that he wants one shop to include CDs, DVDs and boutiques full of brand names, book counters, cinema halls and restaurants. He reckons that such a project would be perfectly suited to the flagship store in the Champs-Elysées, before remembering, as proof of his intuition, that he was always “staggered by the number of visitors crowding around the little wooden chalets set up on the Champs-Elysées at Christmas time... right near the Virgin Megastore”.
While the crisis feeling increases the pressure on prices, it also makes the need to escape one’s daily grind all the more essential. Indeed, abundance, racing pulses and a bit of improvisation can only but help.
Conclusion?
Isn’t it often a special moment that the shoppers are looking for when they go out, as well as a purchase?

2. Continue to keep his mood stable so that he can socialise within the group and be responsible for himself. Find out how to do useful stuff with him.
3. Resume the plan, postponed till now, to go to secondary school. Get in touch with the school about starting next school year.
4. Do some more tests in his electric wheelchair with the ergotherapist’s help.
5. Continue to offer him and the others in the group activities so that he is able to share nice moments with others. But also, though, set up a regular computer session with him to establish an alternative relationship not based on permanent need.
6. Continue to use the communication file.
Relationship with the mother:
‰ Try to find a balance amid the highs and lows, allowing her fragile confidence in us to grow.
Social life:
‰ No longer requests days, weekends or small holidays with “A bras ouverts” .
‰ His last stay was in Easter 2011.
‰ See where we stand with aid organisations for mothers in terms of support.
Schooling:
‰ We can resume last year’s plan of him going to school for half a day (during break time, or a meal in the canteen?)

‰ We finish by playing games for a short while, where he straightens up or stays sitting on his knees. These games centre on ball exchange and matching shapes…
‰ He accepts that he is unable to use his left hand.
Objective:
To emphasize body and spatial awareness so as to help A________ develop himself, thus improving his sense of relationship to other objects.
‘ We have been working on and will continue to work on three objectives:
1. Use of the computer by himself.
2. Designating and associating photos/pictures and pictograms to facilitate the use of the communication file.
3. Improve his vocabulary.

‰ He has become even better at doing it by himself: he knows how to find just the game he is interested in and how to change games, but he does not like us suggesting other things beyond his control.

‰ We ask him to recognise colours by saying them out loud and with the help of Makaton signs, by looking for the associated picture or objects/pictures.

‰ He becomes impatient quickly and does not like frustration or failure.
‰ He calms down when we tell him we will finish off on the computer.
‘ Once a week as well as playing the jeu de l’oie (lit. “game of the goose” ≈ Snakes and Ladders) with two other youngsters.

‰ Rhinitis: gets it less. Nevertheless, a consultation with an ear/nose/throat specialist would be welcome.
‰ Hospital consultations upcoming: Dr. _____, the neurologist; Dr. _______, digestion specialist; Dr. _________, the rehabilitation specialist, was seen in June 2011 for a potential toxin injection.

QUEL ROLE POUR L’UNION EUROPEENNE ?
En Afrique subsaharienne, 1 personne sur 3 souffre de la faim (FAO). 80% de la nourriture consommée est produite par les exploitations familiales qui emploient 70% de la population active1.
Etat des lieux
L’agriculture familiale est confrontée à des contraintes majeures qui anéantissent les efforts des exploitations, dont :
Le sous-investissement structurel dans les exploitations familiales agricoles, tant de la part des gouvernements que des partenaires techniques et financiers. Même les financements pour palier la crise alimentaire de 2007 ont, dans les faits, très peu profité aux exploitations familiales (Facilité alimentaire 2008-2010) ;
Les importations des produits agricoles à bas prix encouragées par des politiques commerciales et agricoles néolibérales qui ont annihilé le développement des filières vivrières locales ;
La pression foncière résultant particulièrement de la course aux agro-carburants et de la cession massive des terres agricoles. Après la concurrence déloyale sur les marchés, l’Afrique est confrontée aujourd’hui à la concurrence foncière sur ses propres terres ;
Les changements climatiques, qui fragilisent encore plus les performances du secteur agricole, ont pour conséquence une accélération de la dégradation des ressources naturelles affectant la productivité agricole ;
Le manque de cohérence au niveau des politiques européennes et des politiques africaines qui porte préjudice à la sécurité alimentaire et au développement agricole des pays ACP.
Enjeux
Ces contraintes multiples ont provoqué une baisse de la production et de la productivité agricole dans la région, un accroissement de la pauvreté en milieu rural, un changement dans les habitudes alimentaires et une augmentation de la dépendance alimentaire de nos pays.
Dans ce contexte, il est nécessaire d’investir dans la modernisation des exploitations familiales agricoles et d’améliorer ainsi leur capacité de production. De nombreuses études menées au sein du ROPPA et de ses plates-formes ont montré que les exploitations familiales lorsqu’elles se développent dans un environnement institutionnel, financier et technique favorable peuvent nourrir les populations de façon durable, créer des emplois, procurer des revenus, assurer la croissance et le développement du pays. Ce renforcement des exploitations familiales permettra de répondre au double défi de réduire la pauvreté en milieu rural et de satisfaire les besoins alimentaires sans cesse croissants en milieu urbain.
L’environnement législatif ouest africain (ECOWAP, NEPAD et la PAU), constituent des cadres favorables pour orienter les investissements publics vers les secteurs pertinents, les filières les plus stratégiques qui ont un impact économique et social et vers les couches sociales les plus vulnérables.
Ces diverses politiques et stratégies ont donc le mérite de fixer des orientations adéquates mais elles ont également des limites dans leur traduction en mesures réglementaires, actions, programmes et projets.
Dans cette perspective, les organisations paysannes ouest africaines se félicitent des avancées stratégiques au niveau de la Commission de l’UE notamment en ce qui concerne les orientations de sa Politique de sécurité alimentaire et l’adoption du Programme pour le changement en vue d’intensifier ses actions sur la base d’un dialogue politique avec tous les acteurs.
Mais dans les faits, le soutien aux exploitations familiales agricoles reste en deçà des attentes. C’est pourquoi, les organisations de producteurs souhaitent que les mesures, actions, programmes et projets de l’UE soient concrètement des instruments qui appuient les exploitations familiales agricoles dans leur multifonctionnalité, leur diversité ; qui offrent des opportunités facilement réalisables aux couches sociales rurales vulnérables et démunies afin qu’elles s’extraient de la pauvreté et de l’insécurité alimentaire.
Propositions des organisations paysannes
Comme reconnu dans l’ECOWAP, les organisations paysannes ouest africaines réaffirment le droit à la souveraineté alimentaire2. Pour opérationnaliser cette vision, les Etats doivent, à travers des politiques agricoles adaptées, libérer des moyens et des outils permettant le développement d’une agriculture durable à travers prioritairement :
(1) l’accès et la disponibilité aux moyens de production (accès à la terre, maitrise de l’eau, énergie, intrants agricoles, crédits agricoles, …),
(2) des politiques assurant des prix rémunérateurs aux producteurs par un accès aux marchés dynamiques et la valorisation de leurs productions agricoles locales (infrastructures de transport et de stockage, équipements de transformation, …),
(3) des politiques commerciales garantissant la protection des marchés.
En effet, l’agriculture familiale a grandement besoin de prix stables à des seuils garantissant des revenus décents aux producteurs.
Il y a un consensus sur le fait que la sécurité alimentaire nécessite des financements directs et accrus aux producteurs familiaux.
Concrètement cela se traduit dans :
L’investissement adapté au développement des exploitations familiales
le respect des engagements de Maputo par les gouvernements africains d’accorder 10% de leurs budgets nationaux au secteur agricole ;
l’instauration d’une priorité à l’agriculture familiale dans le prochain FED et tout autre instrument financier pour le développement, en appui à une mise en œuvre effective de l’ECOWAP ;
la formulation et le respect d’engagements chiffrés du financement du développement dans le soutien à l’agriculture familiale par les partenaires techniques et financiers européens ;
l’appui à la recherche agricole pour faciliter le transfert de technologies en matière de production de semences performantes adaptées à la variabilité du climat et aux besoins des producteurs. Cela nécessite un partenariat dynamique entre les OP, le privé et l’Etat3 ;
l’appui à l’équipement des exploitations agricoles pour accroître la productivité agricole (85% des exploitations familiales travaillent encore avec des équipements rudimentaires) ;
la maitrise de l’eau pour permettre la diversification de la production agricole et l’amélioration de la qualité nutritionnelle de l’alimentation. Cette maitrise nécessite l’intervention publique pour financer les aménagements agricoles, l’irrigation de proximité et des points d’eau ;
des infrastructures de conservation de stockage, de transformation et de transport des produits pour approvisionner les marchés à la fois locaux, nationaux ou régionaux et assurer une sécurité alimentaire durable. Cela suppose également une dynamique de collaboration avec le secteur privé (transporteurs, opérateurs économiques, banques, etc.)4. L’accès aux marchés suppose la maîtrise de la chaîne de valeur des principales productions par les exploitations familiales,
la sécurisation foncière des exploitations familiales par la définition de mesures législatives favorisant à la fois l’accès à la terre (notamment les femmes) et les investissements privés susceptibles de faciliter le transfert de technologies en matière d’aménagement, d’irrigation, etc. Les investissements privés doivent se faire sur base d’un dialogue politique avec les acteurs et du principe de gagnant-gagnant en respectant les dispositions des directives volontaires du CFS, auxquelles l’UE souscrit, pour une gouvernance responsable des régimes fonciers applicables aux terres, aux pêches et aux forêts dans le contexte de la sécurité alimentaire nationale ;
la promotion de la transformation des produits agroalimentaires locaux par les femmes (maitrise des technologies alimentaires, accès au financement, équipements matières premières et emballages) à la fois pour inverser la tendance de changement d’habitude alimentaire en favorisant la consommation locale et créer de la plus-value ;
l’indispensable responsabilisation et renforcement des organisations paysannes devra se traduire par l’opérationnalisation d’actions concrètes de conseil aux exploitations au-delà de l’accès au financement (comptes d’exploitation, planification, appui conseil en exploitation familiale, etc.), le conseil agricole et rural et les formations professionnelles.
En définitive, l’investissement dans les exploitations agricoles doit s’appuyer sur des dynamiques de partenariat entre l’Etat, le privé et les organisations paysannes en considérant que les exploitations font elles-mêmes partie du secteur privé car elles investissent et prennent des risques, comme tout opérateur économique.
Dans tous les cas, l’intervention du secteur privé dans le secteur agricole ne devra pas fragiliser les exploitations familiales. Des modalités opérationnelles qui garantissent les principes gagnant-gagnant devront être négociées.
Changement climatique
Les manifestations actuelles du changement climatique constituent une contrainte majeure pour une agriculture durable et la sécurité alimentaire en Afrique de l’Ouest. En outre, le changement climatique est intimement lié à la demande mondiale d'énergie. Cela signifie investir dans les sources d'énergie renouvelables et en particulier dans celles qui n’entrent pas en concurrence avec les productions vivrières (énergie éolienne, solaire, …).
Les prix alimentaires mondiaux sont de plus en plus liés aux prix de l'énergie et les principaux coûts de production alimentaire, tels que les engrais, le transport et le stockage.
Pour lutter contre les ravages du changement climatique, renforcer la résilience aux chocs climatiques et soutenir la croissance économique, les organisations paysannes ouest-africaines réitèrent leurs propositions telles qu’elles ont été prises en compte dans la résolution de l’APP de Luanda pour aider les agriculteurs en milieu rural à survivre :
le soutien à la lutte contre le réchauffement doit être un soutien additionnel aux mécanismes existants ;
la mise en place d’un fonds spécifique de soutien aux stratégies paysannes d’adaptation au changement climatique ;
les conditions pour que l’agriculture paysanne bénéficie des retombées économiques liées aux Mécanismes du Développement Propre et aux politiques d’encouragement de la réduction des émissions de gaz à effet de serre, et de séquestration du carbone, sans porter atteinte à la sécurité alimentaire ;
l’accréditation des organisations paysannes dans les cadres de décision et de concertation sur les stratégies d’adaptation au changement climatique et la gestion de fonds ;
une coordination régionale dans la lutte contre le réchauffement climatique, avec une gouvernance efficace, transparente et responsable.
La cohérence des politiques européennes pour le développement de l’agriculture familiale et la sécurité alimentaire
La cohérence des politiques avec le développement agricole et la sécurité alimentaire doit être au centre des relations de partenariat entre l’Europe et l’Afrique (APE, PAC, politique énergétique, …). C’est également un enjeu majeur pour les politiques africaines elles-mêmes. C’est pourquoi les OP souhaitent :
Le renforcement du rôle institutionnel de la société civile, et notamment des organisations paysannes, pour assurer leur rôle de veille sur les politiques qui ont un impact sur les politiques agricoles et la sécurité alimentaire ;
Le renforcement du dialogue politique lors de l’élaboration, la mise en œuvre et de la révision des politiques européennes lors des études d’impact et par l’instauration d’un mécanisme de plainte localisé au sein des ambassades, et de correction ;
L’accompagnement, notamment financier et technique, des initiatives d’alliance entre les différents acteurs de la société civile en vue d’une meilleure coordination des actions.
Le partenariat et le dialogue politique
Les organisations paysannes reconnaissent les efforts déjà consentis par l’Union européenne pour soutenir les plates-formes paysannes régionales africaines dans le cadre de leur renforcement institutionnel.
Les organisations paysannes souhaitent renforcer le dialogue politique avec les ambassades européennes dans les pays ACP afin de pouvoir assumer leur rôle dans la sécurité alimentaire de leur pays.
Dans les négociations du 11ième FED, comme dans l’ensemble de ses programmes de financement, l’Union européenne doit maintenir une ligne budgétaire destinée au renforcement de la société civile représentative, sa participation au processus de programmation et de mise en œuvre et le financement des mécanismes de concertation de la société civile dans les pays et la région.

WHAT IS THE EUROPEAN UNION’S ROLE?
In sub-Saharan Africa, 1 in 3 people suffer from hunger (FAO). 80% of the food consumed is produced by family businesses employing 70% of the active population5.
The state of play
Family farming is being hit by major constraints wiping out the efforts of businesses, viz:
Poor structural investment in family farm businesses, as much from governments as from technical and financial partners. Even the finance accorded to help lessen* the 2007 food crisis made very little difference, in practice, to family farming businesses (Food Facility 2008-2010).
Importation of low-cost agricultural produce, encouraged by neoliberal commercial and agricultural policies, has killed off the development of local food-producing industries.
Land pressure, as a particular result of the race for biofuels and heavy cession of agricultural land. After the unfair competition on the markets, Africa is confronted, today, with the competition for land on its own soil.
Climate changes, still further weakening agricultural sector performance, have caused natural resources to deteriorate on an accelerating scale, in turn affecting agricultural productivity.
The lack of cohesion at European and African policy levels is detrimental to food security and agricultural development in the ACP countries.
Stakes
These multiple constraints have caused a decrease in agricultural production and productivity in the region, an increase in poverty in rural areas, a change in food habits and an increase in dependence upon food from our countries.
In such a context, it is necessary to invest in the modernisation of family farming businesses, thereby improving their production capacity. Numerous studies conducted within ROPPA (Network of Farmers’ and Agricultural Producers’ Organisations of West Africa) and its platforms have shown that when family businesses are developed in a favourable institutional, financial and technical environment, they are able to feed populations on a long-term basis, create jobs, yield incomes and ensure the country’s growth and development. Reinforcing family businesses in this way will act as a response to the double challenge of reducing poverty in rural areas and satisfying the ever-increasing need for food in urban areas.
The West African legislative arena (ECOWAP, NEPAD AND the PAU [Agricultural Policy of UEMOA]) constitutes a favourable framework from which public investment can be directed towards the relevant sectors ie. the most strategic industries which can make an economic and social impact and towards the most vulnerable social strata.
These diverse policies and strategies do have the advantage of setting appropriate directions but, equally, are limited in their scope to turn such directions into regulatory measures, actions, programmes and projects.
From this perspective, the West African farmers’ organisations are pleased about strategic advances made by the EU Commission, notably the direction in which its Food Security Policy is headed and the adoption of the Programme for Change with a view to intensifying its efforts to secure sound political dialogue between all the players.
But in reality, support for family farm businesses remains below the expected levels. This is why agricultural producers’ organisations hope that the EU’s measures, actions, programmes and projects will be key instruments in helping family farm businesses to be multifunctional and diverse, and in offering up realistic opportunities to the vulnerable and destitute rural social strata so as they can escape poverty and food insecurity.
Farmers’ organisations’ proposals
As stated in ECOWAP, the West African farmers’ organisations reassert the right to food sovereignty6. To set this vision in motion, the states must free up means and tools to enable the development of long-term agriculture, by adapting algricultural policies. The following are priorities:
Access to and availability of production means (land access, water management, power, agricultural inputs , farming subsidies...)
Policies assuring lucrative prices for producers with access to dynamic markets and improvement of their local agricultural production (transport and storage infrastructure, processing equipment...)
Commercial policies guaranteeing market protection.
Effectively, family farming has a great need for stable prices at levels guaranteeing decent revenues for producers.
There is a general consensus that food security requires increased finance supplied directly to family producers.
Practically speaking, this means:
Investment adapted to family business development
African goverments respect the Maputo agreement by granting 10% of their national budgets to the agricultural sector.
Giving priority to family farming in the next EDF and any other body financing development, in support of an effective execution of ECOWAP.
That European technical and financial partners formulate and respect financial commitment to the positive development of family farming, backed up by figures.
Support for agricultural research to facilitate technology transfer in the production domain of high-performance seeds, adapted to climate variability and the producers’ particular needs. This requires a dynamic partnership between the farmers’ organisations, the private sector and the state7.
Help to provide equipment for farm businesses so as to increase agricultural productivity (85% of family businesses still work with rudimentary equipment).
Water management to enable diversification in agricultural production and improvement of food nutritional quality. Such management requires public intervention to finance agricultural facilities, local irrigation and water collection points.
Infrastructure for preservation and storage, processing and transport of produce to help supply local, national or regional markets at the same time and ensure long-term food security.This also implies dynamic collaboration with the private sector (transporters, economic operatives, banks etc.)8. Access to the markets depends on whether the value chain of farm businesses’ main productions has been well managed.
Land security for family businesses by implementing specific legislative measures favouring both access to land (notably for women) and private investment enabling simpler technology transfer vis-à-vis facilities, irrigation, etc.
Private investment must be handled on the basis of political dialogue with the players and of the win-win principle, by respecting the measures in the CFS’s (Committee on World Food Security) voluntary guidelines, to which the EU subscribes: these being for responsible governance of tenure applicable to lands, fisheries and forestry in the context of national food security.
Promoting the processing of local produce by women (management of food technologies, access to finance, equipment, raw materials and packaging), both to counter the tendency towards changing of food habits whilst favouring local consumption and to create profit.
It is indispensable to reinforce farmers’ organisations and help them take on more responsibility. In order to do this, concrete advice needs to be given to the businesses on top of access to finance (business accounts, planning, helpful advice about family business practice, etc.), agricultural/rural subsidies and professional training.
In the end, investment in farm businesses must depend upon dynamic partnerships between the state, the private sector and the farmers’ organisations whilst bearing in mind that farm businesses are, themselves, part of the private sector since they, too, invest and take risks like any other economic operator.
At no point should the private sector’s intervention in the agricultural sector undermine the family businesses. Working methods guaranteeing win-win principles should be negotiated.
Climate change
Current manifestations of climate change constitute a heavy constraint on long-term agriculture and food security in West Africa. Furthermore, climate change is intimately linked to global energy demand. This means investing in renewable energy sources and, in particular, those not competing with food production (wind power, solar power...).
Global food prices are increasingly linked to energy prices and the principal costs of food production, such as fertilisers, transport and storage.
In order to fight against the ravages of climate change, reinforce resilience against climate shocks and support economic growth, the West African farmers’
organisations reiterate their proposals such as they were formulated in the ACP-
EU’s resolution in Luanda to help farmers in rural areas survive:
Support in the fight against global warming must be an addition to the existing support mechanisms.
The establishment of a specific fund to support farmers’ strategies in adapting to climate change.
Reach the stage where family farmers benefit from the economic spin-offs linked to the Clean Development Mechanism and to policies encouraging the reduction of greenhouse gas emissions, and carbon sequestration policies, without damaging food security.
Accreditation of farmers’ organisations in the arenas of decision-making and dialogue concerning strategies for adapting to climate change and fund management.
Regional coordination in the fight against climactic warming, with effective , transparent and responsible governance.
Cohesion amongst European policies to enable development of family farming and food security
Along with agricultural development and food security, policy cohesion must be a central part of partnership relations between Europe and Africa (EPA, CAP, energy policy,...). Equally, it is a major issue for African policies themselves. This is why the farmers’ organisations hope for:
Reinforcement of the institutional role of the non-trading company and, notably, of farmers’ organisations, so as to assure their position as watchdog over the policies impacting upon agricultural policy and food security.
Reinforcement of political dialogue when European policies are worked out, set in place and revised according to impact studies. Further reinforcement by establishing a complaints and correction mechanism located in embassies.
Initiatives, notably financial and technical, that bring together the different players in a non-trading company with the aim of improving coordination in action.
Partnership and political dialogue
The farmers’ organisations recognise the efforts already afforded by the European Union to support African regional, farmers’ platforms as regards reinforcing their institutions.
The farmers’ organisations hope to strengthen the political dialogue with European embassies in the ACP countries so that they can take on their own role dealing with their country’s food security.
In negotiations at the 11th EDF, the European Union must maintain a budget line, like in all its other finance programmes, aimed at strengthening the representative non-trading company, continue to participate in the programme process, in setting up and financing dialogue mechanisms for the non-trading company nationally and regionally.

commerce de Casablanca, sous le numéro 40327, représentée par Monsieur Mostafa
TERRAB, en qualité de Président Directeur Général, dûment habilité aux fins des présentes
;
Ci-après dénommée le « MAITRE D’OUVRAGE » ou « OCP »,

Le MAITRE D’OUVRAGE et L’ENTREPRISE sont désignés ensemble par les « PARTIES »
et individuellement par « PARTIE ».
IL A TOUT D’ABORD ETE EXPOSE CE QUI SUIT :
OCP et ses filiales constituent un groupe spécialisé dans l’extraction, la valorisation et la
commercialisation de phosphate et de produits dérivés.
OCP se propose, dans le cadre de son plan de développement stratégique, de réaliser le
PROJET dit « Fourniture et installation de la charpente ,tuyauterie et montage des
équipements mécaniques à la laverie El Halassa.» est défini ci-après)
A l’issue d’une procédure d’appel d’offres, le MAITRE D’OUVRAGE a décidé de confier au
ENTREPRISE, compte tenu de ses compétences et des moyens humains et matériels dont

il dispose, les missions relatives à, la construction de l’OUVRAGE afin de permettre sa
réalisation selon les termes du CONTRAT dans le cadre de la mise en oeuvre du PROJET.
Après avoir pris connaissance des conditions dans lesquelles le PROJET doit être réalisé, ,
L’ENTREPRISE déclare détenir la capacité, le savoir-faire et l’expérience requis pour la
réalisation de l’OUVRAGE permettant la mise en oeuvre du PROJET dans les délais fixés,
conformément aux stipulations du CONTRAT et dans le respect des REGLES DE L’ART (tel
que le terme « REGLES DE L’ART » est défini ci-après).
EN CONSEQUENCE DE QUOI, IL A ETE CONVENU ET ARRETE CE QUI SUIT :
ARTICLE 1. DEFINITIONS ET INTERPRETATION
1.1. DEFINITIONS
Pour l'exécution et l'interprétation du CONTRAT, les significations ci-dessous devront être
données aux termes, écrits en toutes majuscules, mentionnés ci-après :

Désignent une ou plusieurs annexes de la CONVENTION, comprenant celles mentionnées
ci-après ainsi que toutes les autres que les PARTIES décideront, d’un commun accord,

Désigne un ou des articles de la CONVENTION.
1.1.3 CHANTIER
Désigne le SITE et les emplacements à proximité immédiate du SITE, sur, sous, dans ou à
travers lesquels les PRESTATIONS doivent être exécutées par l’ENTREPRISE et/ou ses
SOUS TRAITANTS.
1.1.4 ENTREPRISE
Désigne XXXXXX

Désigne le présent contrat qui comprend l'ensemble des documents suivants :

· les ANNEXES.
1.1.6 CONVENTION
Désigne l’ensemble constitué par l’identification des PARTIES, le préambule et l’ensemble
des ARTICLES (à l’exception des articles inclus dans les ANNEXES).
1.1.7 DESCRIPTIF TECHNIQUE
Désigne les documents figurant en ANNEXES A et Z exposant les exigences du MAITRE
D’OUVRAGE ainsi que les PRESTATIONS pour la réalisation de l’OUVRAGE par le
ENTREPRISE.

1.1.8 ENLEVEMENT
Désigne le processus complet, au minimum tel que précisé au CONTRAT, de nettoyage,
démontage, emballage, et enlèvement complet de tous les éléments, de tous les déchets et
de toutes substances dangereuses, ainsi que de tous les solvants ou produits utilisés par
L’ENTREPRISE dans le cadre des PRESTATIONS et se trouvant sur le SITE ou sur
l’emprise du CHANTIER.
Les déchets devront faire l’objet d’un traitement approprié, conforme au droit applicable ou
d’une revalorisation lorsque cela est possible.
1.1.9 FORCE MAJEURE
Désigne les événements, faits et situations définis à l’ARTICLE 28
1.1.10 GARANTIE DÉCENNALE
Désigne la garantie de bonne conception et de bonne réalisation de l’OUVRAGE, telle que
résultant de l’ARTICLE 13.
La RECEPTION PROVISOIRE constitue le point de départ de la GARANTIE DECENNALE.
1.1.11 MAITRE D’OUVRAGE
Désigne OCP S.A
1.1.12 OUVRAGE
Désigne l’ensemble des installations, équipements, matériaux et matériels, parties d’ouvrage
et ouvrages à fournir et réaliser dans le cadre du PROJET, livrés en état durable de bon
fonctionnement et immédiatement prêt pour l’exploitation dans les conditions prévues par le
MAITRE D’OUVRAGE, pour délivrer les performances attendues et/ou servir à l’usage prévu
– ainsi que tous leurs accessoires, comprenant les savoir-faire et droits de propriété
intellectuelle nécessaires à leur utilisation, et tous livrables spécifiquement demandés par le
MAITRE D’OUVRAGE ou accompagnant nécessairement les ouvrages du PROJET – le tout
devant être conforme et dénué de tout vice, propre à la destination précisée par le MAITRE
D’OUVRAGE ou, à défaut, à celle normalement attendue selon leur nature, conformément
aux objectifs, performances et exigences du MAITRE D’OUVRAGE, aux engagements
contractuels pris par le ENTREPRISE, aux REGLES DE L’ART et au(x) droit(s)
applicable(s).
La description technique et les spécifications de l’OUVRAGE sont détaillées dans le
DESCRIPTIF TECHNIQUE Annexe A et Z.
1.1.13 PARTIES
Désigne les parties liées par le CONTRAT, à savoir le MAITRE D’OUVRAGE et le
ENTREPRISE.
1.1.14 PERSONNEL DU ENTREPRISE
Désigne les représentants DE L’ENTREPRISE ainsi que tout le personnel que
L’ENTREPRISE utilise dans le cadre de la réalisation des PRESTATIONS et qui inclut le
personnel DE L’ENTREPRISE et/ou de ses SOUS-TRAITANTS, ainsi que tout autre

personnel assistant L’ENTREPRISE dans le cadre de l’exécution de ses obligations au titre
du CONTRAT
1.1.15 PLANNING DE REALISATION
Désigne le programme de réalisation de l’OUVRAGE, de l’ANNEXE G, établissant le
calendrier d’exécution des PRESTATIONS.
1.1.16 PRESTATIONS
Désigne toute(s) prestation(s) de service, travaux, fournitures de matériaux, matériels ou
d’équipements, transfert de savoir-faire ou de droits de propriété intellectuelle requis pour ou
en rapport avec la bonne réalisation du PROJET et de l’OUVRAGE par le ENTREPRISE,
conformément à la destination de l’OUVRAGE, comme décrit dans le CONTRAT, et
comprenant toutes les suites que le droit, l’équité, les usages ou les REGLES DE L’ART
requièrent pour livrer un PROJET complètement achevé, conforme, dénué de vices et
optimisé au mieux des intérêts du MAITRE D’OUVRAGE.
1.1.17 PRIX CONTRACTUEL
Désigne le prix contractuel fixé à l’ARTICLE 15 et devant être réglé au ENTREPRISE, dans
les conditions prévues au CONTRAT, en contrepartie de la bonne exécution du CONTRAT.
1.1.18 PROJET
Désigne, par la livraison intégrale des PRESTATIONS et de l’OUVRAGE, la réalisation
pleine et entière des objectifs du MAITRE D’OUVRAGE concernant le projet décrit au
préambule, c’est-à-dire une capacité à fonctionner dès le transfert DE L’ENTREPRISE au
MAITRE D’OUVRAGE, et devant être réalisées en conformité avec les spécifications du
DESCRIPTIF TECHNIQUE et de manière générale suivant le CONTRAT, les REGLES DE
L’ART et le droit applicable.
1.1.19 RECEPTION PROVISOIRE
Désigne la signature du procès-verbal par lequel le MAITRE D’OUVRAGE prononce la
réception provisoire de l’OUVRAGE conformément à l’ARTICLE 12.
1.1.20 RECEPTION DEFINITIVE
Désigne la signature du procès-verbal par lequel le MAITRE D’OUVRAGE prononce la
réception définitive de l’OUVRAGE et la fin de la période de GARANTIE MECANIQUE si
toutes les réserves ont bien été levées, dans conformément à l’ARTICLE 13.
1.1.21 RÈGLES DE L’ART
Désigne l’ensemble des techniques et procédés « dits traditionnels » de conception et de
construction dont le bien fondé est justifié par l’expérience et admis par l’ensemble de
l’industrie et de la profession dans les différents domaines couverts par le PROJET.

1.1.22 REPRESENTANT(S) DU MAITRE D’OUVRAGE
Désigne la ou les personne(s) dûment autorisée(s) par le MAITRE D’OUVRAGE
conformément au document de délégation de pouvoirs joint en ANNEXE M du CONTRAT
et investie(s) par le MAITRE D’OUVRAGE du pouvoir de soulever, traiter et régler
conjointement avec le REPRESENTANT du ENTREPRISE, toutes les questions ou
problèmes qui pourront se poser au cours de et/ou en rapport avec la réalisation des
PRESTATIONS.
1.1.23 REPRESENTANT DE L’ ENTREPRISE
Désigne, la personne dûment autorisée par L’ENTREPRISE conformément au document de
délégation de pouvoirs joint en ANNEXE M et investie du pouvoir d’agir au nom et pour le
compte DE L’ENTREPRISE et notamment de soulever, traiter et régler conjointement avec
le MAITRE D’OUVRAGE ou le(s) REPRESENTANT(S) DU MAITRE D’OUVRAGE, toutes
les questions ou problèmes qui pourront se poser au cours de et/ou en rapport avec la
réalisation des PRESTATIONS.
1.1.24 SITE
Désigne les sites correspondant à l’emprise de l’OUVRAGE et du PROJET tel que précisés
dans le DESCRIPTIF TECHNIQUE figurant en ANNEXE A.
1.1.25 SOUS-TRAITANTS
Désigne toutes entités agréées par écrit par le MAITRE D’OUVRAGE et chargées par le
ENTREPRISE, et sous la responsabilité de ce dernier, de la réalisation d'une partie des
PRESTATIONS et de l’OUVRAGE.
La liste des SOUS-TRAITANTS figure en l’ANNEXE K, étant entendu, cependant, que
L’ENTREPRISE ne pourra en aucun cas sous-traiter ou déléguer tout ou une partie
substantielle des PRESTATIONS, même aux entités figurant en ANNEXE K, sans l’accord
spécial, préalable et écrit du MAITRE D’OUVRAGE.
1.1.29 RECEPTION SUR SITE
Désigne la signature du procès-verbal par lequel le MAITRE D’OUVRAGE constate que tous
les équipements, matériels, matériaux et fournitures objets du CONTRAT, ont été livrés en
totalité, en bon état apparent et conformes, et que les certificats de garantie matière ainsi
que les protocoles de contrôles ont été livrés par L’ENTREPRISE et revus par le MAITRE
D’OUVRAGE.
La RECEPTION SUR SITE est un jalon d’inspection et de REVUE à caractère uniquement
technique, permettant au MAITRE D’OUVRAGE de s’assurer du bon avancement de
l’exécution du PROJET par le ENTREPRISE, et n’implique aucune réception juridique, tacite
ou expresse, que ce soit à l’égard DE L’ENTREPRISE ou de fournisseurs, quelle que soit la
formulation des documents signés à ce moment par le MAITRE D’OUVRAGE ou ses
représentants.
1.2. INTERPRETATION
1.2.1. Règles d’interprétation
Les intitulés des titres, articles et paragraphes du CONTRAT sont donnés à titre purement
indicatif et ne sauraient être utilisés par l’une ou l’autre des PARTIES pour servir une

interprétation du CONTRAT contraire à tout ou partie des stipulations du CONTRAT.
En cas de contradiction entre les ARTICLES de la CONVENTION et tout ou partie des
ANNEXES, les ARTICLES de la CONVENTION prévaudront.
Dans le CONTRAT, sauf si le contexte exige une autre interprétation:
(a) les mots indiquant un genre incluent tous les genres ;
(b) les mots indiquant le singulier incluent également le pluriel et les mots indiquant le
pluriel incluent le singulier ;
(c) les stipulations incluant les mots « convenir », « convenu », « convient », « agrée »,
« agrément » ou « accord » nécessitent que l'accord soit consigné par écrit ;
(d) « écrit » ou « par écrit » signifie écrit à la main, tapé à la machine, imprimé ou fait de
manière électronique et constituant un enregistrement durable ; et
(e) les notes marginales et les autres titres ne doivent pas être pris en considération
pour l'interprétation de ces conditions.
1.2.2. Computation des délais
Les délais stipulés à la CONVENTION sont compris comme commençant à courir le
lendemain du jour où s’est produit le fait qui sert de point de départ à ce délai. Un délai est
fixé en jours calendaires. Il expire à la fin du dernier jour de la durée prévue.
1.2.3. Erreurs et omissions
Les erreurs, omissions matérielles, incohérences ou ambiguïtés susceptibles d’affecter le
contenu du CONTRAT seront résolus de bonne foi par les PARTIES dans le but de donner
un effet exécutoire auxdites stipulations contractuelles conformément à l’intention des
PARTIES et afin de sauvegarder la bonne exécution du PROJET.
1.2.4 ORDRE DE PRIORITE DES DOCUMENTS DU CONTRAT
Le CONTRAT comprend les documents listés ci-après dans l’ordre de priorité suivant

Toute ambiguïté ou contradiction entre ces documents, y compris la CONVENTION sera
résolu de bonne foi par application de l’ordre de priorité stipulé ci-dessus.

TITRE I – OBLIGATIONS A LA CHARGE DU ENTREPRISE
ARTICLE 2. OBJET DU CONTRAT - EXIGENCES DU MAITRE D’OUVRAGE -
INFORMATION - RESPONSABILITE GENERALE DU ENTREPRISE
2.1 OBJET DU CONTRAT
Le CONTRAT a pour objet de fixer les termes et conditions dans lesquels L’ENTREPRISE
procédera pour le compte du MAITRE D’OUVRAGE à la réalisation de l’OUVRAGE. Cette
réalisation est soumise aux conditions administratives, commerciales, financières et
techniques spécifiées dans le CONTRAT.
En conséquence, L’ENTREPRISE s’engage à exécuter les PRESTATIONS permettant de
réaliser l’OUVRAGE en conformité absolue avec toutes les stipulations du CONTRAT, et
notamment dans les délais stipulés à l’ARTICLE 10 ainsi que dans le respect du PLANNING
DE REALISATION.
A cet égard, L’ENTREPRISE reconnaît :
· avoir reçu du MAITRE D’OUVRAGE toutes les informations et indications
nécessaires pour la réalisation d’un OUVRAGE permettant la mise en oeuvre du
PROJET ;
· que les études, informations, données et documents que L’ENTREPRISE a reçus du
MAITRE D’OUVRAGE ont été fournis à titre purement indicatif et qu’ils sont réputés
avoir été vérifiés et complétés par L’ENTREPRISE;
· s’être parfaitement renseigné et documenté sur toutes les caractéristiques et
conditions du CHANTIER et du SITE ; qu’il a effectué toutes les inspections et
reconnaissances lui permettant de se forger une opinion suffisante, avant de déposer
sa soumission et de signer le CONTRAT, sur la topographie, la géologie et la nature
du CHANTIER et du SITE, y compris l’état du sous-sol, l’existence et condition des
ouvrages, emprises, réseaux et infrastructures devant être traversés ou contournés
par l’OUVRAGE, ainsi que les conditions climatiques ;
· avoir vérifié et formé son propre jugement professionnel sur toutes les données et
informations fournies par le MAITRE D’OUVRAGE y compris notamment les
informations figurant dans les ANNEXES et qu’il ne peut, en aucun cas, élever une
quelconque réclamation à raison du contenu desdites ANNEXES ou d’une erreur,
imprécision, contradiction ou d’une imperfection concernant les indications données
par le MAITRE D’OUVRAGE ou tout simplement à raison d’une absence
d’information ou de la langue utilisée (notamment pour les ANNEXES rédigée en tout
ou en partie dans une langue autre que le Français).
2.2 EXIGENCES DU MAITRE D’OUVRAGE
Les éléments fondamentaux relatifs aux exigences du MAITRE D’OUVRAGE concernant les
PRESTATIONS sont précisés dans les ANNEXES.
L’ENTREPRISE est réputé avoir étudié toutes les conditions figurant dans les ANNEXES et
avoir lui-même contrôlé en détail avant la signature du CONTRAT que l’OUVRAGE et le
PROJET peuvent être réalisés conformément à ces conditions.

L’ENTREPRISE est ainsi réputé avoir une connaissance détaillée du SITE, du CHANTIER,
et des moyens d’accès et d’alimentation en eau et en électricité ainsi que tout autre moyen
ou possibilité dont il pourra disposer sur le CHANTIER.
L’ENTREPRISE déclare s’être documenté de manière complète sur toutes les sujétions qui
sont susceptibles d’influencer les conditions de réalisation de l’OUVRAGE et/ou le montant
du PRIX CONTRACTUEL.
L’ENTREPRISE déclare avoir effectué sa propre enquête sous son entière responsabilité et
ne pourra donc élever aucune réclamation, notamment, pour manque d’information et/ou
mauvaise estimation de certains facteurs.
Si au cours de la réalisation de l’OUVRAGE, L’ENTREPRISE rencontre des obstacles,
difficultés ou conditions physiques défavorables, il n’aura droit à aucune prolongation de
délai de réalisation de l’OUVRAGE, ni à aucune indemnité si la modification ne respecte pas
les conditions de l’ARTICLE 20.
L’ENTREPRISE ne pourra élever aucune réclamation ni demander aucune indemnité au cas
où il estimerait que, du fait des renseignements donnés par le MAITRE D’OUVRAGE, il
aurait subi ou pourrait subir une perte ou des dépenses imprévues, notamment par suite
d’une sous-estimation des risques ou de sujétions.
L’ENTREPRISE confirme avoir, avant de conclure le CONTRAT, étudié et vérifié l’ensemble
des éléments techniques faisant partie du CONTRAT. A ce titre, L’ENTREPRISE reconnaît
s’être assuré que ces éléments techniques ne contiennent pas d’erreurs et sont compatibles
avec la réalisation de l’OUVRAGE dans les conditions prévues au CONTRAT et dans le
respect des engagements et garanties DE L’ENTREPRISE au titre du CONTRAT. De
même, L’ENTREPRISE est réputé avoir vérifié et s'être parfaitement assuré que les
spécifications du CONTRAT, notamment le DESCRIPTIF TECHNIQUE, permettent
l'obtention de l’ensemble des performances requises par le CONTRAT.
Le MAITRE D’OUVRAGE ne sera responsable d’aucune erreur, inexactitude ou omission de
quelque nature que ce soit figurant dans les données fournies à L’ENTREPRISE et/ou dans
les documents d’appel d’offres, et le MAITRE D’OUVRAGE ne sera en aucun cas réputé
avoir donné quelque assurance ou garantie que ce soit en ce qui concerne le caractère
exact et complet de n’importe quelle information ou donnée contenue dans ces documents
ou fournie à L’ENTREPRISE de quelque manière que ce soit.
Aucun élément d’information reçu par le ENTREPRISE, qu’il provienne du MAITRE
D’OUVRAGE ou de toute autre personne, ne dégagera L’ENTREPRISE de sa responsabilité
pleine et entière dans la réalisation de l’OUVRAGE au titre du CONTRAT.
Il est expressément convenu et agrée par les PARTIES que l’acceptation par
L’ENTREPRISE du DESCRIPTIF TECHNIQUE et des autres informations contenues dans
les ANNEXES engage L’ENTREPRISE à exécuter les PRESTATIONS afin de permettre la
réalisation de l’OUVRAGE à titre d’obligation de résultat, en conformité avec ledit
DESCRIPTIF TECHNIQUE et les ANNEXES sans remettre en cause, directement ou
indirectement, les PRESTATIONS ni le contenu ou l’étendue des obligations et
engagements DE L’ENTREPRISE au titre du CONTRAT.

2.3 INFORMATION EN COURS DE REALISATION DE L’OUVRAGE
L’ENTREPRISE s'engage à communiquer au MAITRE D’OUVRAGE, par une proposition
écrite, au cours de la réalisation du CONTRAT et à titre d'information, toutes les
améliorations de procédés et de conceptions techniques dont il aurait connaissance et qui
pourraient aboutir à :
(i) une accélération du PLANNING DE REALISATION de l’OUVRAGE ;
(ii) une réduction des coûts de réalisation de l’OUVRAGE ;
(iii) une réduction des coûts d’entretien et/ou de fonctionnement de l’OUVRAGE ;
(iv) une amélioration de la performance de l’OUVRAGE ; ou
(v) toute amélioration ou bénéfice quelconque pour le MAITRE D’OUVRAGE.
2.4 INTEGRALITE DES PRESTATIONS
L’ENTREPRISE reconnaît que son engagement de réaliser l’OUVRAGE, en contrepartie du
PRIX CONTRACTUEL, est constitutif d’une obligation de résultat impliquant la fourniture de
l’ensemble des PRESTATIONS nécessaires à la réalisation de l’OUVRAGE et du PROJET.
La description des PRESTATIONS par le MAITRE D’OUVRAGE n’est qu’indicative et doit
être complétée par les meilleurs normes en vigueur, le droit applicable, les usages et les
REGLES DE L’ART.
C'est donc au seul ENTREPRISE qu'incomberont toutes dépenses supplémentaires ou
complémentaires résultant de tout ajout et/ou modification des équipements, fournitures,
matériaux et matériels, ou tous travaux ou prestations non mentionnés dans le CONTRAT,
mais requis aux fins d'assurer la réalisation de l’OUVRAGE en conformité avec les
exigences du CONTRAT, les REGLES DE L’ART et le droit applicable.
De même, si le détail des PRESTATIONS ne comprend pas une prestation relative à l’objet
du CONTRAT qu’il appartient pourtant à L’ENTREPRISE d’assurer au titre de la réalisation
de l’OUVRAGE dans le cadre du PROJET, car son accomplissement se révèle
indispensable pour assurer, selon les REGLES DE L’ART, la bonne exécution des
PRESTATIONS, et si cette prestation n’est pas expressément exclue du cadre des
obligations du ENTREPRISE, L’ENTREPRISE s’engage à exécuter ladite prestation, dont le
prix est forfaitairement inclus dans le PRIX CONTRACTUEL et ne peut prétendre à une
modification du PLANNING DE REALISATION.
2.5 RESPONSABILITE GENERALE DE L’ENTREPRISE
2.5.1 L’ENTREPRISE devra, sous réserve des dispositions du CONTRAT, et de façon
appliquée et diligente, effectuer et entretenir les OUVRAGES et fournir tout travail incluant la
supervision afférente, les travaux temporaires, les matériels et fournitures, les installations
de chantier et toutes autres choses, temporaires ou permanentes, requises pour l’exécution,
dans la mesure où la nécessité de les fournir est prévue dans le CONTRAT ou doit
raisonnablement être déduite des termes du CONTRAT.
L’ENTREPRISE sera entièrement responsable de la continuité, de la stabilité et de la
sécurité des OUVRAGES.
L’ENTREPRISE assure la bonne exécution des OUVRAGES en totalité à titre d’obligation
de résultat conformément aux stipulations du CONTRAT, et notamment aux spécifications
contenues dans le DESCRIPTIF TECHNIQUE et au PLANNING DE REALISATION.

L’obligation de résultat à laquelle est soumis L’ENTREPRISE implique que L’ENTREPRISE
est responsable de plein droit et doit réparation au CLIENT sur l’ensemble de ses
OUVRAGES et PRESTATIONS concernés dès lors que le résultat prévu par le CONTRAT
n’est pas atteint, sur tout ou partie des PRESTATIONS et OUVRAGES
Toutefois, dans la mesure où L’ENTREPRISE aura respecté les documents techniques et
les procédures qui lui sont applicables au titre du CONTRAT, L’ENTREPRISE ne sera pas
tenu responsable de toute défaillance en lien avec les services et les OUVRAGES
comprenant, sans se limiter à, l'exécution, les essais probatoires, les essais de mise en
service, et/ou les garanties de performance, à la condition que cette défaillance soit
exclusivement imputable à l'ingénierie, au génie civil et/ou à la fourniture de matériaux ou
d'équipements fournis par une partie autre que L’ENTREPRISE.
2.5.2 L’ENTREPRISE devra se conformer et s’assurer que son personnel, les autres
intervenants, SOUS-TRAITANTS et leurs personnels respectifs se conforment en vue de la
bonne exécution des OUVRAGES pour l’atteinte des objectifs du PROJET :
aux lois, règles, normes, prescriptions, règlement, arrêtés, usages et pratiques et
ordres internationaux, nationaux, étatiques, et locaux, notamment mais sans
limitation, en matière environnementale et d’hygiène, de salubrité et de sécurité, du
travail, de toute juridiction, Etat, province, région, commune, ville applicables
directement ou indirectement au CONSTRUCTEUR, au PROJET, et/ou aux SOUSTRAITANTS;
aux lois, règles et règlements, arrêtés, et décisions, applicables au SITE et/ou
CHANTIER et pour les PRESTATIONS réalisées sur le SITE, aux règles et
règlements du SITE liées à la sécurité, l’hygiène, la santé, et la sûreté, en ce compris
mais sans limitation, les règles liées à l'alcool et la drogue ;
et plus généralement aux lois, normes et règlement en vigueur et aux règles et
prescriptions imposées par le CLIENT uniformément aux fournisseurs et contractants
du CLIENT et notifiées au CONSTRUCTEUR y compris, sans que cette liste soit
limitative, relativement à toutes réquisitions ou exigences légales aux bonnes
pratiques concernant l’hygiène, la sécurité et le bien être.
L’ENTREPRISE s'engage en son nom propre et au nom des SOUS-TRAITANTS, à ce
qu'aucune rétention, privilège ou réclamation de quelque nature que ce soit ne soit formulée
ou maintenue sur tout ou PARTIE du PROJET, du SITE, et sur toute amélioration réalisée
pour le compte, en vue de, en relation directe ou indirecte avec l'ENLEVEMENT.
De plus, L’ENTREPRISE en son nom propre et au nom des SOUS-TRAITANTS renonce
expressément à tout droit de mettre en oeuvre ou de maintenir une telle rétention, privilège
ou demande durant ou à l’occasion de la période d'ENLEVEMENT.
2.5.3 L’ENTREPRISE fera son affaire de toute autorisation, agrément, licence, et permis
nécessaires à la réalisation des OUVRAGES.
2.5.4 L’ENTREPRISE s'engage sans réserve à réaliser et respecter l'intégralité des
exigences, performances et garanties découlant du CONTRAT.
La responsabilité contractuelle ou légale du CONSTRUCTEUR ne saurait être évitée,
exclue, modifiée ou partagée, notamment, en raison de ou en rapport avec la surveillance
exercée par le CLIENT; notamment les vérifications et inspections de matériels,
l'approbation éventuelle de SOUS-TRAITANTS ou le refus de SOUS-TRAITANTS ne
figurant pas dans l’ANNEXE K ou les acceptations de documents techniques ne pourront

pas avoir d'effets juridiques sur les obligations du CONSTRUCTEUR qui demeure
intégralement responsable de la conformité de ses PRESTATIONS avec les stipulations du
CONTRAT.
L’ENTREPRISE sera seul responsable de l'aménagement, de la réalisation, et de la
direction des travaux, y compris toutes ses activités au Maroc et à l’étranger liées à la
réalisation des installations, temporaires ou permanentes, inhérentes au PROJET.
2.5.5
Malgré l’absence de toute relation contractuelle entre le REPRESENTANT DU CLIENT et
L’ENTREPRISE, ce dernier devra mettre en oeuvre toutes instructions qui lui seront
délivrées par le REPRESENTANT DU CLIENT, et L’ENTREPRISE accepte expressément
d’appliquer lesdites instructions, lesquelles devront à toute époque et en toutes
circonstances poursuivre uniquement le meilleur intérêt du CLIENT.
2.5.6
A compter de la date de démarrage des travaux jusqu’à la date de l’achévement,
L’ENTREPRISE sera pleinement responsable des risques affectant les OUVRAGES.
En cas de dommages, pertes ou dégâts infligés aux OUVRAGES, ou à toute partie des
OUVRAGES quelle qu’en soit la cause, L’ENTREPRISE devra, à ses propres frais, réparer
et remettre en bon état, de telle sorte qu’à leur achèvement, les OUVRAGES soient en bon
ordre et conformes aux exigences du CONTRAT et aux instructions du REPRESENTANT
DU CLIENT.
2.5.7
L’ENTREPRISE sera responsable de l'exacte et correcte implantation des OUVRAGES par
rapport aux points, lignes et niveaux de référence originaux notifiés par écrit par le
REPRESENTANT DU CLIENT, et du caractère correct, sous réserve de ce que dessus, de
la position, des niveaux, des dimensionnements et de l’alignement de toutes les parties des
OUVRAGES, et de la fourniture de tous instruments, appareils et prestations
correspondants.
Si, à tout moment pendant l’avancement des OUVRAGES, une erreur apparaît ou survient
dans la position, les niveaux, les dimensionnements ou l'alignement d'une partie quelconque
des OUVRAGES, L’ENTREPRISE, à la demande du REPRESENTANT DU CLIENT, devra
à ses propres frais rectifier une telle erreur à la satisfaction du REPRESENTANT DU
CLIENT.
La vérification de tout emplacement ou de tout alignement ou niveau par le
REPRESENTANT DU CLIENT, ne déchargera en aucun cas L’ENTREPRISE de sa
responsabilité quant à leur caractère correct, et L’ENTREPRISE devra soigneusement
protéger et préserver tous repères, sight-rails, pegs, points de référence ou autres utilisés
pour l’implantation des OUVRAGES.
2.5.8
Tous les matériaux et fabrications seront conformes aux descriptions dans le CONTRAT et
aux instructions du CLIENT, et seront éventuellement soumis aux tests que le
REPRESENTANT DU CLIENT pourra diriger sur le lieu de manufacture ou de fabrication, ou
sur le SITE ou à tous autres endroits qui seraient indiqués dans le CONTRAT.
L’ENTREPRISE fournira toute assistance, instruments, machines, travaux et matériaux
normalement requis pour examiner, mesurer ou tester tout travail et la qualité, le poids ou la
quantité de tout matériel utilisé et fournira des échantillons de matériaux avant incorporation
dans les OUVRAGES pour test comme il sera requis par le REPRESENTANT DU CLIENT.

2.5.9 Echantillons
L’ENTREPRISE devra fournir à ses propres frais au REPRESENTANT DU CLIENT
moyennant un préavis de [sept (7)] jours, les échantillons des principaux matériaux et
fournitures que le REPRESENTANT DU CLIENT lui aura demandés pour approbation et/ou
le cas échéant pour test avant leur incorporation dans les OUVRAGES. Les tests seront
réalisés sur les échantillons afin de vérifier la conformité des matériaux et fournitures aux
spécifications techniques du CONTRAT.
L’ENTREPRISE fournira à ses frais au REPRESENTANT DU CLIENT, dans les [huit (8)]
jours à, compter de la date de signature du CONTRAT, tous les échantillons et extraits des
matériaux et fournitures devant être approuvés par le CLIENT.
L’ENTREPRISE réalisera à ses frais et par ses propres moyens sur le SITE ou à l'endroit de
fabrication des matériaux et fournitures les tests prévus.
2.5.10 Inspection des OUVRAGES
(a) Examen des OUVRAGES
Le REPRESENTANT DU CLIENT et toute personne autorisée par elle, pourront accéder à
tout moment au SITE et à tous les ateliers et endroits de préparation ou de fabrication
d’OUVRAGES, matériaux, fabrications ou machines. L’ENTREPRISE procurera toute
installation et toute assistance dans l’obtention du droit à un tel accès.
(b) Inspection des OUVRAGES avant couverture
L’ENTREPRISE devra offrir la possibilité, par voie de notification et avec un préavis
raisonnable, au REPRESENTANT DU CLIENT, d'examiner tous OUVRAGES sur le point
d'être recouverts ou masqués.
Le REPRESENTANT DU CLIENT devra procéder à cet examen avant la date notifiée. Si cet
examen n'est pas réalisé par le REPRESENTANT DU CLIENT à la date notifiée par
L’ENTREPRISE, L’ENTREPRISE pourra procéder au recouvrement des OUVRAGES
correspondants.
(c) Mise à découvert des OUVRAGES recouverts
L’ENTREPRISE devra faire mettre à découvert ou faire pratiquer des ouvertures dans une
partie ou des parties des OUVRAGES, selon les instructions que le REPRESENTANT DU
CLIENT peut à tout moment donner pour inspecter les OUVRAGES recouverts.
Si cette partie ou ces parties ont été recouvertes ou masquées et s'avèrent avoir été
exécutées conformément au CONTRAT, les frais de mise à jour ou d'ouverture, de
rectification et de remise en état seront supportés par le CLIENT ; dans tous les autres cas,
ces frais seront supportés par L’ENTREPRISE.
2.5.11 Retrait de matériaux ou fabrications impropres
Le REPRESENTANT DU CLIENT aura, pendant le cours des travaux, le pouvoir d’ordonner
par écrit à tout moment :
(a) Le retrait hors du SITE dans les temps indiqués dans ledit ordre, de
tous matériaux qui selon l’opinion du REPRESENTANT DU CLIENT ne sont pas
conformes au CONTRAT ;
(b) La substitution de matériaux corrects et convenables ; et
(c) Le retrait et la réexécution correcte, nonobstant tout test préalable ou
tout paiement provisoire à ce titre, de tout travail qui, concernant les matériaux
ou la fabrication, n’est pas conforme au CONTRAT de l’avis de l’avis du
REPRESENTANT DU CLIENT.

The OWNER and the COMPANY are referred to, together, as the “PARTIES” and, individually, as the “PARTY”.
THE FOLLOWING HAS BEEN SET FORTH PRELIMINARILY:
OCP and its subsidiaries constitute a group specialising in the extraction, upgrading and commercialisation of phosphates and derivatives thereof.
OCP intends, within the scope of its strategic development plan, to carry out the “Provision and installation of framework and piping and assembly of mechanical equipment at El Halassa washing plant”, defined, hereinafter, as the PROJECT.
At the end of an invitation to tender process, the OWNER has decided to confer upon the COMPANY, on account of the latter’s competence and capability in terms of manpower and equipment, the tasks relative to

the construction of the OPERATION, so that it be undertaken and completed in accordance with the terms of the CONTRACT within the PROJECT framework.
After having acquainted itself with the conditions in which the PROJECT must be carried out, the COMPANY declares itself to have the requisite capability, know-how and experience to undertake and complete the OPERATION, enabling the PROJECT to be implemented within the set deadlines, conforming to the CONTRACT stipulations and respecting BEST PRACTICE (inasmuch as the term “BEST PRACTICE” is defined hereinafter).
CONSEQUENTLY, IT IS HEREBY AGREED AS FOLLOWS:

1.17 TECHNICAL SPECIFICATIONS
Signifies the documents figuring in APPENDIXES A and Z stating the requirements of the OWNER as well as the SERVICES provided by the COMPANY necessary for the undertaking and completion of the OPERATION.

1.1.8 SITE CLEANUP
Signifies the complete process, at least as stated in the CONTRACT, of cleaning, dismantling, packaging, and complete removal of all elements, all waste and all dangerous substances, as well as all solvents or products utilised by the COMPANY within the scope of the SERVICES and being present on the SITE or on WORKSITE ground.
Waste materials will be subject to the appropriate treatments, conforming to applicable law, or to re-use when that is possible.
1.1.9 FORCE MAJEURE
Signifies the events, phenomena and situations specified in ARTICLE 28
1.1.10 TEN-YEAR GUARANTEE
Signifies a guarantee that the OPERATION be well-conceived, well-undertaken and well-completed, such as stated in ARTICLE 13.
PROVISIONAL ACCEPTANCE signifies the start of the TEN-YEAR GUARANTEE.
1.1.11 OWNER
Signifies OCP S.A
1.1.12 OPERATION
Signifies all installations, equipment, machinery, materials, parts of the operation and works to be provided and carried out within the scope of the PROJECT, delivered in good and durable working order, and immediately ready for use within the conditions planned by the OWNER, in order to deliver the expected performances and/or to be used as planned - as well as all of their ancillaries, comprising the know-how and intellectual property rights necessary for their use, and all deliverables specifically requested by the OWNER or those that are necessary for the operations of the PROJECT - all of which must conform to the regulations and be devoid of defect, suitable for the destination as specified by the OWNER or, failing that, for where they are normally expected according to their nature, conforming to the objectives, performance and requirements of the OWNER, to the contractual commitments adhered to by the COMPANY, to BEST PRACTICE and to applicable law(s).
Technical descriptions and specifications of the OPERATION are detailed in the TECHNICAL SPECIFICATIONS, Appendixes A and Z.
1.1.13 PARTIES
Signifies the parties bound by the CONTRACT, namely the OWNER and the COMPANY.
1.1.14 COMPANY PERSONNEL
Signifies the representatives of the COMPANY as well as all personnel utilised by the COMPANY within the scope of undertaking and completion of the SERVICES and includes the personnel of the COMPANY and/or its SUBCONTRACTORS, as well as all other personnel assisting the COMPANY within the scope of the

execution of its obligations within the CONTRACT.
1.1.15 TIMETABLE OF THE WORKS
Signifies the programme of undertaking and completion of the OPERATION, in APPENDIX G, with the establishment of a timetable for carrying out the SERVICES.
1.1.16 SERVICES
Signifies all provision of services, work, supply of materials, machinery or equipment, transfer of know-how or intellectual property rights required for or relating to the effective undertaking and completion of the PROJECT and the OPERATION by the COMPANY, in accordance with the final outcome of the OPERATION, as described in the CONTRACT, and including all the actions required by law, equity, customs or BEST PRACTICE to deliver a fully completed PROJECT, conforming to regulation, devoid of defects and carried out with maximum efficiency in the best interests of the OWNER.
1.1.17 CONTRACT PRICE
Signifies the contract price fixed in ARTICLE 15 and must be paid to the COMPANY, within the conditions planned in the CONTRACT, in return for sound execution of the CONTRACT.
1.1.18 PROJECT
Signifies, by a thorough rendering of the SERVICES and performance of the OPERATION, the full and complete fulfilment of the OWNER’s objectives concerning the project as described in the preamble, that is to say the ability to function properly at the time of the transfer from the COMPANY to the OWNER, and that the former must be carried out in accordance with the TECHNICAL SPECIFICATIONS and, in general, in accordance with the CONTRACT, BEST PRACTICE and applicable law.
1.1.19 PROVISIONAL ACCEPTANCE
Signifies the signing of the written statement whereupon the OWNER confirms provisional acceptance of the OPERATION in accordance with ARTICLE 12.
1.1.20 FINAL ACCEPTANCE
Signifies the signing of the written statement whereupon the OWNER confirms final acceptance of the OPERATION and the end of the MECHANICAL GUARANTEE period if all reservations have been lifted, in accordance with ARTICLE 13.
1.1.21 BEST PRACTICE
Signifies all techniques and “so-called traditional” processes of conception and construction whereof the validity is justified by experience and affirmed by the whole industry and profession in the different areas covered by the PROJECT.

1.1.22 OWNER’S REPRESENTATIVE(S)
Signifies the person or persons duly authorised by the OWNER, in accordance with the delegation of powers’ document attached to APPENDIX M of the CONTRACT, and invested by the OWNER with the power to raise, handle and settle, together with the COMPANY’S REPRESENTATIVE, all questions or problems which may arise in the course of and/or in relation to the execution of the SERVICES.
1.1.23 COMPANY’S REPRESENTATIVE
Signifies the person duly authorised by the COMPANY, in accordance with the delegation of powers’ document attached to APPENDIX M, and invested with the power to act in the name of and for the COMPANY and notably to raise, handle and settle, together with the OWNER or the OWNER’S REPRESENTATIVE(S), all questions or problems which may arise in the course of and/or in relation to the execution of the SERVICES.
1.1.24 SITE
Signifies the sites marked out for the OPERATION and the PROJECT as defined in the TECHNICAL SPECIFICATIONS figuring in APPENDIX A.
1.1.25 SUBCONTRACTORS
Signifies all entities approved in writing by the OWNER and employed by the COMPANY, and responsible to the latter, to carry out a part of the SERVICES and OPERATION.
The list of SUBCONTRACTORS appears in APPENDIX K, on the understanding, however, that the COMPANY may not, in any case, subcontract or delegate all or a substantial part of the SERVICES, even to the entities appearing in APPENDIX K, without the specific, prior written agreement of the OWNER.
1.1.29 ONSITE ACCEPTANCE
Signifies the signing of the written statement whereupon the OWNER confirms that all equipment, machinery, materials and provisions subject to the CONTRACT, have been delivered in full, in good visible condition and conforming to regulation, and that the material guarantee certificates as well as the control check protocols have been delivered by the COMPANY and reviewed by the OWNER.
ONSITE ACCEPTANCE is a milestone in inspection and REVIEW that is uniquely technical in character, enabling the OWNER to assure himself that the PROJECT is being carried out well by the COMPANY with good progress being made, and does not imply any legal acceptance whatsoever, be it tacit or formal, with regard to the COMPANY or the suppliers, whatever the terms of the documents signed in that moment by the OWNER or his REPRESENTATIVES.
1.2. INTERPRETATION
1.2.1. Rules of interpretation
The wording in the titles, articles and paragraphs of the CONTRACT is given purely for information only and may not be used by one or other of the PARTIES to formulate an interpretation of the CONTRACT that is

contrary to all or part of the CONTRACT’s stipulations.
In case of contradiction between the ARTICLES of the AGREEMENT and all or part of the APPENDIXES, the ARTICLES of the AGREEMENT will take precedence.
Within the CONTRACT, except if the context requires another interpretation:
words indicating one gender include all genders;
words indicating the singular equally include the plural and words indicating the plural include the singular;
stipulations including the words “agree”, “agreed”, “approve”, “approved” or “approval” necessitate that the agreement be put down in writing:
“written” or “in writing” signify hand-written, type-written, printed or written electronically and recorded permanently; and
marginal notes and other headings must not be considered in the interpretation of these conditions.
1.2.2. Calculation of deadlines
The deadlines stipulated in the AGREEMENT are understood as starting to run on the day after the start date of the deadline. A deadline is fixed by days of the calendar. It expires at the end of the last day of the planned period.
1.2.3. Errors and Omissions
Any errors, material omissions, inconsistencies or ambiguities likely to affect the contents of the CONTRACT will be resolved in good faith by the PARTIES with the aim of giving executory effect to said contractual stipulations in accordance with the PARTIES’ intent and so as to safeguard the sound execution of the PROJECT.
1.2.4 ORDER OF PRIORITY OF CONTRACT DOCUMENTS
The CONTRACT comprises the documents listed hereinafter in order of priority as follows:

Any ambiguity or contradiction between these documents, including the AGREEMENT, will be resolved in good faith by applying the order of priority stipulated above.

TITLE 1 - THE COMPANY’S OBLIGATIONS
ARTICLE 2. CONTRACT OBJECTIVE - OWNER’S REQUIREMENTS - INFORMATION - COMPANY’S GENERAL RESPONSIBILITIES
2.1 CONTRACT OBJECTIVE
The objective of the CONTRACT is to fix the terms and conditions in respect of which the COMPANY will proceed for account of the OWNER in the realisation of the OPERATION. This realisation is subject to the administrative, commercial, financial and technical conditions specified in the CONTRACT.
Consequently, the COMPANY undertakes to carry out the SERVICES enabling realisation of the OPERATION in absolute accordance with all the stipulations of the CONTRACT, and, notably, within the deadlines stipulated in ARTICLE 10 as well as respecting the TIMETABLE OF THE WORKS.
In this respect, the COMPANY recognises:
that it has received from the OWNER all information and necessary indications for undertaking and completion of the OPERATION thus allowing the PROJECT to proceed;
that the studies, information, data and documents that the COMPANY has received from the OWNER have been provided purely for information only and that they are deemed to have been verified and completed by the COMPANY;
that it has fully gathered all requisite information and documentation about the characteristics and conditions of the WORKSITE and SITE; that it has carried out all inspections and surveys enabling it to gain sufficient knowledge, before tendering its bid and signing the CONTRACT, of the topography, geology and nature of the WORKSITE and SITE, including the condition of the substratum, the existence and condition of any structures, terrain, networks and infrastructure to be crossed or bypassed by the OPERATION, as well as climate conditions;
that it has verified and formed its own professional judgement concerning all data and information provided by the OWNER including, notably, the information figured in the APPENDIXES and that it may not, in any case, raise any objection whatsoever due to the contents of said APPENDIXES or to any error, imprecision, contradiction or any imperfection concerning the indications given by the OWNER or, simply, due to any absence of information or language used (notably, in the case of APPENDIXES, drafted wholly or partly in any language other than French).
2.2 OWNER’S REQUIREMENTS
The fundamental elements relating to the OWNER’s requirements concerning SERVICES are specified in the APPENDIXES.
The COMPANY is deemed to have studied all conditions figuring in the APPENDIXES and to have, itself, checked in detail before the signing of the CONTRACT that the OPERATION and the PROJECT can be carried out in accordance with these conditions.

Thus the COMPANY is deemed to have a detailed knowledge of the SITE, the WORKSITE, the means of access and both water and electricity supplies as well as any other means or possibility it might need on the WORKSITE.
The COMPANY declares itself fully informed about all constraints likely to influence the conditions of the OPERATION’s realisation and/or the CONTRACT PRICE total.
The COMPANY declares that it takes full responsibility for carrying out its own enquiries and may not, therefore, raise any objection, notably, for lack of information and/or poor assessment of certain factors.
If, in the course of realising the OPERATION, the COMPANY encounters obstacles, difficulties or unfavourable physical conditions, it will not be entitled to any extension of the OPERATION realisation deadline, nor to any indemnity if its modifications do not respect the conditions in ARTICLE 20.
The COMPANY may not raise any objection nor request any indemnity in any case where it considers that, based on information given by the OWNER, it might have suffered or might suffer a loss or incur unplanned expenses, notably as a result of an underestimation of risks or constraints.
The COMPANY confirms, before signing the CONTRACT, that it has studied and verified all the technical elements belonging to the CONTRACT. On this account, the COMPANY recognises it has ascertained that these technical elements do not contain errors and are suited to the execution of the OPERATION within the conditions planned in the CONTRACT and in respect of the commitments and guarantees of the COMPANY under the CONTRACT. Furthermore, the COMPANY is deemed to have verified and fully ascertained that the CONTRACT specifications, notably the TECHNICAL SPECIFICATIONS, allow all results required by the CONTRACT to be obtained.
The OWNER shall not be responsible for any error, inexactitude or omission, whatever its nature, figuring in the data supplied to the COMPANY and/or in the invitation to tender documents, and the OWNER shall not, in any case, be deemed to have given any assurance or guarantee whatsoever concerning the exact and complete character of no matter what information or data contained in these documents or supplied to the COMPANY however that may be.
No element of information received by the COMPANY, whether it comes from the OWNER or any other person, shall release the COMPANY from its full and complete responsibility in the realisation of the OPERATION under the CONTRACT.
The PARTIES agree expressly that the COMPANY’s acceptance of the TECHNICAL SPECIFICATIONS and all other information contained in the APPENDIXES commits the COMPANY to carry out the SERVICES thus enabling the realisation of the OPERATION as a performance guarantee in accordance with said TECHNICAL SPECIFICATIONS and the APPENDIXES without questioning, directly or indirectly, the SERVICES nor the contents nor scope of the COMPANY’s obligations and commitments under the CONTRACT.

2.3 INFORMATION IN THE COURSE OF OPERATION REALISATION
The COMPANY undertakes to inform the OWNER, by written proposal, during the execution of the CONTRACT and by way of information, of all improvements to processes and technical conceptions which he might be aware of and might result in:
quicker progress in the OPERATION’s TIMETABLE OF THE WORKS;
reduced costs in realising the OPERATION;
reduced maintenance and/or running costs for the OPERATION;
improvement in OPERATION performance;
any improvement or benefit whatsoever for the OWNER.
2.4 THE SERVICES AS A WHOLE
The COMPANY recognises that its commitment to realising the OPERATION, in return for the CONTRACT PRICE, constitutes a performance guarantee implying the provision of all the SERVICES necessary to realise the OPERATION and the PROJECT. The OWNER’s description of the SERVICES is only an indication and must be completed according to the highest norms in force, applicable law, customs and BEST PRACTICE.
It is, therefore, down to the COMPANY alone to settle all supplementary and complementary expenses resulting from all additions to and/or modifications of equipment, supplies, machinery and materials, or all works and services not mentioned in the CONTRACT, but required in order to ensure the OPERATION’s realisation in accordance with the CONTRACT’s requirements, BEST PRACTICE and applicable law.
Furthermore, if the SERVICES’ detail leaves out a service relating to the CONTRACT objective, it falls to the COMPANY, however, to ensure the provision of that service in order to realise the OPERATION within the scope of the PROJECT, since said service’s execution is found to be indispensable for ensuring , according to BEST PRACTICE, the sound execution of the SERVICES, and if said service is not expressly excluded from the COMPANY’s scope of obligations, the COMPANY undertakes to carry out said service, whose price is inclusive in the CONTRACT PRICE and may not expect to acquire a modification of the TIMETABLE OF THE WORKS.
2.5 COMPANY’S GENERAL RESPONSIBILITIES
2.5.1 The COMPANY will, subject to the CONTRACT clauses, and in a focused and diligent manner, carry out and maintain the OPERATIONS and supply all work including relevant supervision, temporary works, equipment and supplies, worksite installations and all other things, temporary or permanent, required for the execution, inasmuch as the necessity to supply them is foreseen in the CONTRACT or must be reasonably deduced from the terms of the CONTRACT.
The COMPANY will be entirely responsible for the continuity, stability and safety of the OPERATIONS.
The COMPANY assures proper execution of all the OPERATIONS by way of performance guarantee in accordance with the CONTRACT stipulations, and notably with the specifications contained in the TECHNICAL SPECIFICATIONS and in the TIMETABLE OF THE WORKS.

The performance guarantee to which the COMPANY is subject implies that the COMPANY is the responsible party by operation of law and must compensate the CLIENT on all OPERATIONS and SERVICES concerned starting from when the result expected by the CONTRACT is not achieved, on all or part of the SERVICES and OPERATIONS.
Nevertheless, insofar as the COMPANY has respected the technical documents and procedures applicable to itself under the CONTRACT, the COMPANY will not be held responsible for any failure connected to the services and OPERATIONS including, and without being limited to, execution, preliminary tests, set-up tests, and/or performance guarantees, on condition that this failure is due exclusively to the engineering, civil engineers and/or to the provision of machinery or equipment supplied by a party other than the COMPANY.
2.5.2 The COMPANY will comply and ensure that its personnel, the other participants, SUBCONTRACTORS and their respective personnel comply with a view to the proper execution of the OPERATIONS in order to achieve the PROJECT objectives:
➢ to the laws, rules, norms, prescriptions, regulation, decrees, customs and practices and international, national, state and regional decrees, notably in, but not limited to, the domains of the environment, hygiene, health and safety, work, any jurisdiction, state, province, region, commune, city applicable directly or indirectly to the BUILDER, the PROJECT, and/or the SUBCONTRACTORS;
➢ to the laws, rules and regulations, decrees, and decisions, applicable to the SITE and/or WORKSITE and for the SERVICES carried out on the SITE, to the rules and regulations of the SITE concerning safety, hygiene, health, and security, and included in this, but without limitation, the rules concerning alcohol and drug use;
➢ and, more generally, to the laws, norms and regulation in force and to the rules and prescriptions imposed uniformly by the CLIENT to the CLIENT’s suppliers and contractors, these rules and prescriptions being communicated to the BUILDER as well, without this list being restrictive, relating to all requisitions and legal requirements for good practice concerning hygiene, safety and well-being.
The COMPANY promises, in its own name and in the name of the SUBCONTRACTORS, that no retention, privilege or objection whatesoever be formulated or upheld on all or part of the PROJECT, the SITE, and concerning any improvement on behalf of, in view of, or in direct or indirect relation to the CLEANUP.
Furthermore, the COMPANY, in its own name and in the name of the SUBCONTRACTORS, expressly cedes all right to create and uphold such a retention, privilege or demand during or at the time of the period of CLEANUP.
2.5.3 The COMPANY will be responsible for any authorisation, agreement, licence, and permit necessary for the realisation of the OPERATIONS.
2.5.4 The COMPANY undertakes, without reservation, to realise and respect all requirements, results and guarantees stemming from the CONTRACT.
The BUILDER’s legal or contractual responsibility may not be avoided, excluded, modified or shared, notably, due to or in relation to any supervision exercised by the CLIENT, notably regarding material/equipment verifications and inspections, the eventual approval of SUBCONTRACTORS or refusal of SUBCONTRACTORS not figuring in APPENDIX K or the acceptance of technical documents, and these will

not have any legal effect upon the obligations of the BUILDER who remains wholly responsible for delivering his SERVICES in accordance with the stipulations of the CONTRACT.
The COMPANY alone will be responsible for the layout, realisation, and direction of the works, including all its activities in Morocco and abroad connected to the setup of temporary or permanent installations inherent to the PROJECT.
2.5.5
In spite of the absence of any contractual relationship between the CLIENT’S REPRESENTATIVE and the COMPANY, the latter shall carry out all instructions given to it by the CLIENT’S REPRESENTATIVE, and the COMPANY expressly accepts it will apply said instructions which must, at all times and under all circumstances, follow the best interests of the CLIENT.
2.5.6
From the start date of the works until the end date, the COMPANY shall be fully responsible for the risks affecting the OPERATIONS.
In case of damages or losses affecting the OPERATIONS or any part of the OPERATIONS whatsoever the cause, the COMPANY shall, at its own expense, carry out repairs and return these to good condition , so that the OPERATIONS, on their completion, are in good order and in accordance with the CONTRACT requirements and the instructions of the CLIENT’S REPRESENTATIVE.
2.5.7
The COMPANY shall be responsible for the exact and correct setup and positioning of the OPERATIONS relative to the original points, lines and levels of reference set down in writing by the CLIENT’S REPRESENTATIVE, and for the correct nature, subject to the above, of the position, levels, dimensions and alignment of all parts of the OPERATIONS, and for the provision of all corresponding tools, instruments, machines and services.
If, at any time during the OPERATIONS’ progress, an error appears or occurs in the position, levels, dimensions or alignment of any part of the OPERATIONS whatsoever, the COMPANY, at its own expense, shall rectify, at the request of the CLIENT’S REPRESENTATIVE, such error to the satisfaction of the CLIENT’S REPRESENTATIVE.
Verification of any site or any alignment or level by the CLIENT’S REPRESENTATIVE shall not, in any case, discharge the COMPANY from its responsibility to ensure these are correct, and the COMPANY shall carefully protect and preserve all markers, sight-rails, pegs, points of reference or other points used for the setup and positioning of the OPERATIONS.
2.5.8
All materials, structures and buildings shall be in accordance with the CONTRACT descriptions and the CLIENT’S instructions, and shall eventually be subject to tests which the CLIENT’S REPRESENTATIVE shall conduct on the site of manufacture or fabrication, or on the SITE or at all places indicated in the CONTRACT.
The COMPANY will provide all assistance, instruments, tools, machines, works and materials normally required for examining, measuring or testing all work and the quality, weight or quantity of all material used and will provide samples of materials, before incorporating them into the OPERATIONS, for testing as required by the CLIENT’S REPRESENTATIVE.

2.5.9 Samples
The COMPANY shall, at its own expense, give [seven (7)] days’ notice before providing the CLIENT’ S REPRESENTATIVE with samples of the principal materials and supplies that the CLIENT’S REPRESENTATIVE has asked to approve and/or, if need be, for testing prior to their incorporation into the OPERATIONS. The tests shall be carried out on the samples so as to verify that the materials and supplies are in accordance with the technical specifications of the CONTRACT.
The COMPANY shall, at its own expense, provide the CLIENT’S REPRESENTATIVE with all the samples and material extracts and supplies to be approved by the CLIENT, within [eight (8)] days after signing the CONTRACT.
The COMPANY shall carry out the tests, at its own expense and by its own means, on the SITE or at the site where the materials and supplies are produced.
2.5.10 Inspection of OPERATIONS
(a) Examination of the OPERATIONS
The CLIENT’S REPRESENTATIVE and all persons authorised by him, may gain access at all times to the SITE and to all workshops and areas where preparation and fabrication of the OPERATIONS, materials, fabrications or machinery are carried out. The COMPANY shall provide all facilities and assistance to make such access possible.
Inspection of the OPERATIONS before they are covered
The COMPANY shall offer the CLIENT’S REPRESENTATIVE the possibility, by notification and with reasonable notice, to examine the OPERATIONS about to be covered over or concealed.
The CLIENT’S REPRESENTATIVE shall proceed with this examination before the notification date. If the CLIENT’S REPRESENTATIVE has not carried out the examination on the COMPANY’s notification date, the COMPANY may proceed to cover over the corresponding OPERATIONS.
Uncovering covered OPERATIONS
The COMPANY shall undertake to uncover or make openings in part or parts of the OPERATIONS, according to instructions that the CLIENT’S REPRESENTATIVE can give at any time to inspect the covered OPERATIONS.
If said part or parts have been covered over or concealed and turn out to have been executed in accordance with the CONTRACT, the costs of uncovering or opening, rectification and restoring shall be borne by the CLIENT; in all other cases, these costs shall be borne by the COMPANY.
2.5.11 Withdrawal of improper materials or fabrications
The CLIENT’S REPRESENTATIVE shall, during the period of the works, have the power, at all times, to order by written statement:
The withdrawal of all materials which, in the opinion of the CLIENT’S REPRESENTATIVE, are not in accordance with the CONTRACT, from the SITE within the timeframe indicated in the order;
The substitution of correct and suitable materials; and
(c) The withdrawal and subsequent correction, notwithstanding any preliminary test or any provisional payment to do with this, of all work which, concerning materials or fabrication, does not comply with the CONTRACT according to the CLIENT’S REPRESENTATIVE.

As you will certainly know, Mulhouse’s history is closely linked with that of the motor car. So, it is entirely natural that our city will be a partner in the Rallye de France, the French race in the World Rally Championship, taking place from 4 to 7 October 2012 in Alsace, and featuring the eight-time Alsatian champion, Sébastien Loeb.
During this, we will be hosting one of the stages for the second year running: on Friday 5 October, a special stage will take place in the heart of our city on a 4.65km-long course.
As our cities have a well-established twin connection spanning many years, I would like you to share in this sporty and festive international event. Il est à peine besoin de revenir ici sur l'invasion des bars dans notre quotidien, chacun l'aura constaté par lui-même. Hier, réservé à ceux qui y refaisaient le monde en buvant une bière ou en pariant sur des chevaux, les bars sont désormais associés à de nouvelles activités. Bar à maquillage, bar à jeans, bar à bottes, voire, bar à pains, ultime destination de toute boulangerie en quête de reconnaissance et de singularité. Difficile d'y échapper. A peine le mot épuisé que le marketing, toujours avide de nouveaux territoires, s'apprête à en mettre un nouveau sur orbite : la cave. Tout le monde connaît les caves à vins qui, longtemps, se sont contentées en hypermarchés du mot "rayon" pour être identifiées. Certains ont déjà croisé La cave Saveur du Roquefort Société. Peu, en revanche, se sont encore trouvés face à une Cave à viande... Non, il ne s'agit pas d'une boucherie dernière génération, mais, plus modestement, d'un emballage imaginé par une entreprise familiale basée en Auvergne, la maison Puigrenier (les lacaniens apprécieront…) pour proposer sa nouvelle gamme de viande charolaise. Mais aussi, par celui d'une boite protectrice en bois, noble et rassurante par ses évocations "terroir" autant "qu'identifiante" sur les linéaires. There is hardly any need here to go back over how bars have invaded our daily lives, for each one of us will have noticed this on his own. Whilst bars used to be reserved for people putting the world to rights over a beer or betting on horses, bars, nowadays, are synonymous with new activities. There are make-up bars, denim bars, boot bars and, even, bread bars, the ultimate destination for any baker in search of recognition and singularity. We cannot escape it.
Once the word has been used a few times, it is not long before the marketeers, ever greedy for new territory, get ready to launch a new one: cave (cellar), for example. Everyone knows about caves à vin: for a long time now, hypermarkets have settled on calling theirs “(wine) departments”. Some people have already come across Roquefort’s “cheese cellar” brand, La cave Saveur du Roquefort Société. Few, however, have yet to come face to face with a Cave à viande (meat cellar)...
And no, we are not talking about some state-of-the-art butcher’s, but, more modestly, about a family-run business based in the Auvergne, la maison Puigrenier (grenier is a granary or attic...), and the packaging it has dreamt up for its new range of Charolais meat: the Cave à viande is available at Monoprix and comes in a wooden box similar to those used for certain cheeses.
It is a skillful piece of innovation, simple and easy to read straightaway. Its skill lies, first, in the choice of words: full of images of quality whilst simultaneously implying a promise of preservation; but also, in its wooden box packaging, at once noble and reassuring in its evocation of “terroir”, whilst also featuring as a “brand” on the shelves. I can see it already: a Cave for hams, a jam Cave, a sweetie Cave or why not, even, a diamond Cave.
Whilst the term “bar” plays with the idea of making something available, the term “cave”, however, implies preservation and mystery: definitely two promising trumps. “Happy hours” could also be branded...

Une visite au dernier Mondial de l’Auto suffisait pour émettre l’hypothèse qu’une partie de l’avenir automobile est sans doute dans le lifestyle. Sur leurs stands, Audi proposait des lunettes de soleil et des biberons (!) et Volkswagen, des collections de vêtements inspirés de la Golf et de la Coccinelle. Chez Peugeot trônait un piano demi-queue, fruit de la collaboration entre Pleyel et le Peugeot Design Lab. Chez Fiat, autant que la nouvelle Fiat 500 L et sa machine à expresso intégrée, c’est la ligne "Fiat 500 Kids collection" qui retenait l’attention : une ligne de vêtements pour enfants. Des projets de collections similaires seraient à l’étude chez Alfa Roméo et Lancia. Mentionnons aussi, au passage, la ligne Mini by Puma : du prêt-à-porter, des chaussures et de la bagagerie aux codes inspirés de l'Union Jack…. Hier, les fabricants automobiles proposaient, au mieux, des porte-clés et quelques accessoires ; aujourd’hui, ce sont de véritables lignes de vêtements et d’objets divers... La mode et l’art de vivre ne sont plus de simples roues de secours pour le monde de l’automobile, mais bien une autre manière pour les constructeurs d’être présents dans notre quotidien et nos esprits. Les voilà à présent autant fabricants de styles de vie que de véhicules, preuve que produire ne peut plus s’envisager sans induire. "Dis-moi comment tu vis, je te dirai dans quoi rouler" laisse ainsi peu à peu la place à "dis-moi dans quoi tu roules, je te dirai comment tu vis".

At their stands, Audi were offering sunglasses and baby feeding bottles and Volkswagen were offering clothing collections inspired by the Golf and Coccinelle. A baby grand piano took centre stage at Peugeot’s stand, a product of the collaboration between Pleyel and the Peugeot Design Lab. Yesterday, car manufacturers offered key-rings and a few accessories at best; today, however, they offer genuine clothing lines and miscellaneous items... Way of life and the art of living are no longer just spare wheels in the automotive world but, rather, another way for the manufacturers to enter our daily lives and minds.
Right now they are just as much manufacturers of lifestyles as of vehicles, which proves that you have to induce to produce. Thus, “Tell me, mate, how you live and I’ll tell you what to drive” is giving way little by little to: “Tell me, mate, what you drive and I’ll tell you how to live”.

Au moment où Carrefour déposait son cube gare du Nord, Casino installait cinq panneaux sur le parvis de la gare Part-Dieu à Lyon. Deux initiatives semblables destinées à nous montrer que le futur est déjà là lorsqu’il s’agit de faire nos courses puisque ces deux installations permettaient à chacun de choisir parmi les produits présentés ceux qu’ils désiraient, puis de les faire livrer chez eux ou dans des points de retrait. Il leur suffisait, pour cela, d’avoir préalablement téléchargé une application.
Mais quand le cube de Carrefour proposait des produits classés par familles sur chacune de ses facettes, les panneaux de Casino suggéraient, eux, une présentation thématique : "Soirée de filles", "Apéro entre potes", "Dîner en amoureux", "Dîner en famille"… Voilà qui semble plus intéressant que la simple reproduction de l’organisation des magasins. Pourquoi le commerce virtuel devrait-il prendre son inspiration dans le commerce réel ?
N’est-il pas temps d’inverser la logique ? Faire ses courses a toujours été un parcours rationnel, même si, parfois, quelques touches émotionnelle viennent s’y glisser. Or, ça et là, des signes d’une envie de vivre différemment se font entendre de la part des consommateurs.
Et si faire ses courses devenait un moment d’étonnement ? Et si les enseignes s’exprimaient comme leurs clients en leur proposant des moments de consommation plutôt que des produits ? Voilà qui ne devrait pas déplaire aux plus jeunes, eux qui sont à la fois "digital natives" et désireux de changement.

Réinventer la consommation, c’est réinventer la nature du lien qui unit une enseigne à ses clients. Le e-commerce offre à toutes les enseignes de belles opportunités de réinvention.

Just as Carrefour placed its cube-shaped virtual store in the Gare du Nord railway station, Casino put five panels up in the forecourt of Lyon’s Part-Dieu railway station. Here were two similar initiatives designed to show us that the future is already here as far as shopping is concerned, in that both of them allowed customers to pick what they wanted amongst the products on display, and then to have them delivered back home or to collection points. All they had to do was to download an app beforehand.
However, while Carrefour’s cube offered groupings of products on each of its sides, Casino’s panels had a more theme-based approach: “Girls’ night out”, “A drink with your mates”, “Romantic dinner for two”, “Family meal”... This seems a lot more interesting than simply reproducing normal retail formats. Why should virtual business take its inspiration from real business?
Is it not time to turn logic on its head? Doing the shopping has always been a rational exercise, even if a few emotional snippets slide their way in occasionally. Yet, there are signs, here and there, that consumers want to live differently.
What if shopping became a surprise moment? What if chains spoke the same language as their customers, offering consumer moments rather than just products? Such a turn might appeal to the youngest amongst us, those “digital natives” wanting a change.
Conclusion:
If you reinvent the way a chain is linked to its customers, you reinvent how people consume. E-commerce offers all chains great opportunities for reinvention.

L’année dernière, Picard avait été désignée enseigne préférée des Français par l’étude OC&C Strategy Consultants (5000 personnes interrogées en juin 2012), suscitant une vague d’annonces presse mettant en scène son célèbre fondant au chocolat accompagné de légitimes remerciements. L’enseigne du froid a, cette année, laissé sa première place à Amazon. Les temps changent.
Certains ne pourront s’empêcher d’y voir le signe d’une mutation de la consommation qui se traduirait par une fréquentation plus assidue d’Amazon, pour y trouver de "bonnes affaires", que de Picard pour y trouver de "bons produits"... Ils n’auront sans doute pas complètement tort, vue la situation économique actuelle… La préférence accordée à une enseigne est d’abord affaire de présence à l’esprit.
Observer les enseignes situées en troisième position vient compléter le portrait du consommateur d’aujourd’hui. On y trouve, ex-aequo, Yves Rocher, l’Occitane et leboncoin.fr. Leboncoin.fr ? Tiens, tiens, quelle coïncidence ! La recherche de bonnes affaires est décidemment bien à l’ordre du jour… Heureusement que la place est simultanément occupée par deux enseignes de la cosmétique. Les consommateurs n’auraient donc pas cessé d’accorder de l’importance à leur image et à leur bien-être. Bonne nouvelle.
Notons au passage qu’il s’agit ici, ni de marques de luxe, ni de marques low-cost, mais de marques accessibles, préoccupées par l’environnement, animées par des valeurs et prônant toutes deux une forme de "vérité".
En quête de bonnes affaires, sans avoir perdu sa gourmandise et son hédonisme, le consommateur d’aujourd’hui serait ainsi bipolaire à sa façon : à la fois dans le plaisir et la raison. Pas si mal en cette période tourmentée.

C’est aussi tout mettre de son côté pour être repéré et "lisible". La spécialisation au service du positionnement. Ce qui, dans un environnement où toutes les propositions s’uniformisent et où seule la marque sert encore de point de repère, n’est pas négligeable.
C’est encore opter pour une position de leader sur son marché car, plus une marque est spécialisée, plus elle est légitime pour innover dans son domaine puisque toute son énergie n’est mobilisée que sur un seul enjeu. Une opportunité pour tenter de nouvelles expériences et tenir de nouveaux discours… qui ne manqueront pas d’être vite repris par d’autres acteurs plus "mainstream".
C’est, enfin, une manière de répondre aux attentes des consommateurs d’aujourd’hui, tous désireux de se vivre en "experts", et animés par l’idée de connaître LA bonne adresse rare avant les autres… Parfait pour redonner de l‘intérêt à la consommation de produits

Du 2 au 12 décembre prochain, quatorze convives pourront venir déguster mets fins et champagne au cinquième étage du bâtiment historique de la Samaritaine fermé depuis 2005 et converti pour l’occasion en restaurant éphémère de luxe par la maison Krug (groupe LVMH, propriétaire de la Samaritaine) et le chef étoilé Emmanuel Renaut. Il leur faudra tout de même s’être préalablement acquitté de la somme de 200 euros pour un déjeuner…
Il y a peu, les marques de luxe réservaient des lieux prestigieux pour donner vie à leurs événements. Aujourd’hui, elles n’hésitent pas à investir des chantiers. Les temps changent. Certes, depuis la "Demolition Party" organisée par le Royal Monceau lors de ses travaux de réaménagement, les chantiers sont devenus compatibles avec l’univers du luxe et même plutôt branchés. Certes, la Samaritaine bénéficie d’un emplacement exceptionnel qui en fait toute sa valeur bien au-delà de son histoire.
Mais force est de constater que l’obligation d’étonnement est désormais à l’ordre du jour pour toutes les marques, tous secteurs confondus. Mieux encore : plus le lieu est éloigné de l’univers de la marque à l’origine de l’événement, plus l’image de celle-ci en bénéficiera en termes de modernité et de capacité à innover.
Selon une étude menée en juin dernier par Ipsos pour NRJ auprès des 25-49 ans, 53% d’entre eux affirment vouloir découvrir des lieux qu’ils ne connaissent pas pour "égayer leur quotidien" et plus de 40% souhaiteraient vivre des expériences exceptionnelles pour "ajouter du piquant dans leur vie". La consommation n’est plus seulement une affaire de statut, elle est aussi un contrepoint émotionnel à notre quotidien.

Difficile d’y échapper tant il y a d’articles qui leur sont consacrés dans la presse : les food-trucks sont devenus les symboles du renouveau de la restauration urbaine. Longtemps associés aux places du village, aux parkings des hypers et aux pizzas cuites au feu de bois, les voici aujourd’hui au cœur de toutes les envies, adoubés par le Fooding et les branchés urbains dans toute leur diversité.
Mais pourquoi donc un tel succès ? Tout d’abord parce que la qualité est là alors qu’elle a parfois déserté l’assiette des restaurants traditionnels. Pas un food-truck qui ne valorise, en effet, l’origine et l'excellence de ses ingrédients. Bio, "petits producteurs", savoir-faire locaux… L’imaginaire est en marche. Une manière de rassurer leurs futurs clients en leur signifiant clairement que s'il s'agit bien de "street food", on est bien loin des rivages de la "junk food".
Ensuite, parce que les food-trucks contribuent, à leur manière, à la réinvention des règles de la restauration. Ici, on cherche sur le net la localisation du camion, on fait la queue (parfois très longtemps), on mange debout, dehors… et avec les doigts, voilà pour le côté "expérimental". Mais, simultanément, on se régale en ne dépensant qu’une dizaine d’euros et en vivant une expérience originale qu’on ne cessera de raconter aux autres…
Au moment où toutes les marques, sonnées par la crise, se demandent quoi proposer à leurs consommateurs, les food-trucks viennent leur livrer leur message : répondre à l’attentisme budgétaire du moment, tout en permettant à de nouveaux imaginaires de prendre vie. Un pied dans le rationnel et un autre dans le rêve. Une recette de crise.

Aujourd’hui dédiés à une restauration bien identifiée, les food-trucks ne pourraient-ils pas enrichir l’expérience qu’ils proposent en devenant des points de découverte pour de nouveaux produits ou des offres inattendues ?

But why are they so successful? First and foremost, because they show the high quality that is sometimes missing from traditional restaurant plates. Indeed, you simply cannot find one food truck that does not value the origins and excellence of its ingredients: organic, small-scale producers, local savoir-faire… these get the imagination going. And this is one way of reassuring their future clients by making it clear that their “street food” is a long way away from the realms of “junk food”.
Next, because food trucks are helping, in their own way, to reinvent the rules of the catering trade. In this case, you look for the food van’s site on the net, you queue up (sometimes for ages), you eat standing up, outside… and with your fingers: this is the “experimental” side of it. Today, food trucks have their own well-recognized niche. However, might they not provide an even richer experience by becoming discovery points for new products or unexpected offers?

Le magazine Cosmopolitan (groupe Marie Claire) va très prochainement lancer sa Cosmopolitan Box : un coffret en édition limitée regroupant une sélection de 4 à 6 produits de beauté format miniature et d’accessoires moyennant un abonnement mensuel de 12 euros. Pour un euro de plus, les abonné(e)s pourront recevoir le magazine.
L’initiative est plus intéressante qu’elle n'y paraît. Elle vient d’abord confirmer la pertinence du modèle des box avec abonnement, imaginées par des sites d'e-commerce et qui, depuis un an, ne cessent de se multiplier. Un nouveau format est né. Réponse aux attentes d’étonnement des consommateurs autant que manière pour les marques de "tester" des nouveautés, les box ont tout bon.
La box du magazine Cosmopolitan va un cran plus loin car l’émetteur est ici un magazine. Et qui magazine, dit points de vue, engagements et communautés de lecteurs… Plus qu’une "simple" boîte surprise, c’est un véritable vecteur d’expression qui s’offre ici à Cosmopolitan qui devient ainsi une sorte de "curator" des marques sélectionnées : pas de simples nouveautés produits, mais des produits choisis et recommandés par le titre.
Aujourd’hui, une box d’échantillons un peu attendue, mais, demain, pourquoi pas, une box de produits (ou de services) qui s’inscrivent dans le prolongement d’une rubrique (beauté, cuisine, déco) du magazine ? Ou encore, une sélection de nouveautés qui conduirait à un article dans le magazine reprenant les différents commentaires et positions de ceux qui les ont testées ?
Née dans le monde culturel, "la curation", pratique qui consiste à sélectionner, éditorialiser puis partager des contenus, a de beaux jours marketing devant elle…

In the very near future, Cosmopolitan Magazine (Marie Claire Group) is going to launch its Cosmopolitan Box: a limited edition box set containing a selection of 4 to 6 beauty product miniatures and accessories for an average monthly subscription cost of 12 euros. The initiative is more interesting than it may appear. First of all, it confirms how pertinent the box/subscription model has become: such sets were dreamt up by e-commerce sites and have been ever on the increase in the last year. A new format is born. As a response to consumers’ need for surprise as well as a way for the brands to test out their novelty items, the boxes have come up trumps.
Cosmopolitan Magazine’s box goes one step further since its producer is a magazine in this case. And when we talk about magazines, we think about points of view, participation and readerships… More than a “simple” surprise box, this is a veritable expression vector for Cosmopolitan which, in turn, is becoming a sort of “curator” for the selected brands: these are not simple novelty products, but products chosen and recommended by the magazine.
Today, you get a box of slightly anticipated samples, but tomorrow, why not a box of products (or services) appearing in one of the magazine’s extended columns (on beauty, kitchen, interior design)? Or, even, a selection of novelty items leading to an article in the magazine discussing the different comments and opinions of their testers?
Born in the cultural world, “curation” is a practice consisting in selecting, creating editorials and then sharing their contents. It has some great marketing days ahead…

A l’origine symbole du bois que l’on brûlait dans les cheminées de campagne pendant la veillée et tout le jour de Noël, les bûches sont les incontournables des réveillons. Les regarder, c’est aussi comprendre notre époque.
Pendant longtemps, elles ne furent qu’addition de génoise et de crème au beurre. Plutôt fades et souvent un peu "étouffe chrétien", ce qui était un comble. Depuis une dizaine d’années, la bûche se fait design, un chemin qu’elle ne s’imaginait pas prendre, mais qu’elle parcourt depuis sans faiblir. Allégées, transformées, revisitées, elles tentent chaque année de réinterpréter leur forme universelle.
Au point, qu’aujourd’hui, plus personne ne s’étonne de se trouver face à une bûche imaginée par Philippe Starck, Christian Lacroix ou Chantal Thomass. Cette année, la presse nous apprend que l’architecte Jean Michel Wilmotte nous en propose sa vision pour la maison Lenôtre. La bûche comme geste architectural, le paradoxe est aussi osé qu’inattendu. Voilà qui en dit long sur notre époque.
Ces bûches "nouvelle génération" viennent d’abord nous rappeler l’importance prise, au fil du temps, par les préoccupations esthétiques. Les spectateurs d’un "Dîner presque parfait" ne pourront pas dire le contraire. Une bonne table, c’est d’abord une belle table.
Elles sont aussi révélatrices des attentes d’une population "bourgeoise-moderne" (refuge d’une bonne partie des bobos), désireuse de "vivre les traditions dans la rupture". C’est un hommage à son "bon goût" et à son désir de singularité que viennent rendre ces bûches.
Celles-ci viennent enfin souligner, s’il en était encore besoin, que l’étonnement doit désormais figurer au menu de toutes les tables. Pendant les fêtes, mais pas seulement.
So What ?
Quand un artiste se penche sur un produit de grande consommation, il se contente souvent d’une réinterprétation de son packaging. Pourquoi ne pas, à l'image des bûches, aller jusqu'à la conception même du produit ?

Originally symbolic of the wood burned in rustic fireplaces during evening gatherings and all day long on Christmas Day, yule logs are part and parcel of Christmas Eve dinners. To look at them is to understand the era we live in.
For a long time they were simply a combination of sponge cake and butter cream: rather bland and often a little stodgy, to top it all. However, about ten years ago, the yule log became a designer item. This is one road it never imagined it would take, but it has been on it without wavering ever since. Whether low-fat, re-shaped or revisited, attempts are made each year to re-interpret its universal form.
It has reached the point, today, where nobody is shocked any longer when they come face to face with a yule log as imagined by Philippe Starck, Christian Lacroix or Chantal Thomass. This year, the press informs us that the architect, Jean Michel Wilmotte, will offer us his vision of it on behalf of la maison Lenôtre. Yule log-cum-architectural gesture: a paradox as daring as it is unexpected. This says a lot about our era.
These “new generation” yule logs remind us, first of all, how very preoccupied we are becoming, over time, with the aesthetic. Those who watch “Come dine with me” will have to agree. Good food means, first and foremost, beautiful food.

When an artist studies a hugely popular consumer product, he is often satisfied to simply re-interpret its packaging. Why not, as with the logs, go right to the very core of the product?

Courant décembre, Danone ouvrait à Paris, à deux pas de son siège, un restaurant à l’enseigne Aux 2 Vaches, soit, pour les connaisseurs, un clin d’œil au nom de sa gamme de yaourts "bio et décalée" Les 2 Vaches.
Encore un restaurant né d’un produit ne manqueront pas de soupirer certains, pensant avoir déjà tout vu. Or, hormis quelques expériences "volontairement éphémères", il n’y a eu à Paris qu’un seul véritable restaurant de marque : celui de Lustucru, installé un temps à quelques mètres de la place de la Bastille… et fermé assez rapidement pour cause de non rentabilité…
C’est aujourd’hui Danone qui reprend la main de façon un peu plus stratégique. D’abord, parce qu’ici le restaurant est au service de la marque et non l’inverse. Soit l’opportunité pour Danone de bénéficier d’un "laboratoire en vrai" pour tester de nouvelles propositions, en ultra-frais ou non, et de recueillir en direct des impressions de consommateurs.
Ensuite, parce que ce sont des plats de terroir (forcément bio) qui sont proposés et non de stricts produits laitiers. L’aligot, les mini-saucisses de Morteau, le pot-au-feu de pintade bio aux petits légumes d’hiver sont ainsi autant de preuves de la capacité des 2 Vaches à s’aventurer sur de nouveaux territoires tout en respectant ses valeurs d’authenticité et de qualité. Pourquoi la marque devrait-elle se cantonner à son savoir-faire d’origine ?
Bon pour les papilles des uns, bon pour l’image des autres, les restaurants de marques ont tout bon… dès lors que l’on cesse d’avoir l’œil rivé sur le tiroir caisse…
So What ?
Ouvrir un restaurant au nom de sa marque, n’est ce pas l’opportunité de rappeler qu’elle est davantage un univers qu’une addition de produits ?

Some who think they have seen it all will shake their heads at the prospect of yet another restaurant born out of a product. However, apart from several “purposely short-lived” experiments, there has only been one genuine brand restaurant in Paris: that is, Lustucru . Situated at one time a few metres from the place de la Bastille… it closed down quite quickly due to lack of profit…
Today, Danone is going to give it a go, albeit a little more strategically. Firstly, the restaurant will serve the brand, not the other way around. This will be an opportunity for Danone to benefit from a “live laboratory” to test out its new offers, ultra-fresh or not, and gather direct feedback from its consumers.
Next, moreover, it will offer regional country dishes (organic, of course), not just milk products. Aligot, mini Morteau sausages and organic guinea fowl pot-au-feu with baby winter vegetables are, in themselves, proof enough of Les 2 Vaches’ ability to venture forth into new territory whilst respecting its values of authenticity and quality. Why should the brand confine itself to its origins and savoir-faire?
It tastes good to some and looks good for others: it’s all good news for brand restaurants… once they stop training their eyes on the till…

Opening a restaurant with one’s brand name is an opportunity to remind ourselves that a brand is a universe rather than just a means of adding products.

Texto de origem - francês 6ème pavillon le plus visité de l’Exposition universelle de Shangai, le pavillon belge, en partie financé par des subsides de la Loterie Nationale, a fait découvrir notre pays à plus de 40.000 visiteurs par jour, du 1er mai au 31 octobre 2010.
Le plus grand pavillon belge de tous les temps s’articulait en trois parties. La première illustrait la Belgique fédérale, la deuxième était réservée aux Régions. Dans la troisième, l’Europe disposait de son propre espace, vu le statut de Bruxelles capitale de l’Europe et la présidence belge de l’Union européenne à ce moment-là.
Le bureau Conix Architects a traduit le thème de l’Exposition universelle « Better City, Better Life » par un pavillon aux lignes pures et matériaux recyclés.
A l’intérieur, le « Brain Cell » (neurone), clin d’oeil à l’atome agrandi proposé à l’Exposition de 1958, exprimait l’importance de la science, de l’art, de la communication, l’aspect complexe et globalisé du monde.
Tradução - inglês The Belgian pavilion, partially funded by National Lottery subsidies, was the 6th most popular pavilion at the Shanghai World Expo and helped more than 40,000 daily visitors discover our country from 1 May to 31 October 2010.
This was the largest Belgian pavilion of all time and was divided into three sections. The first depicted federal Belgium and the second was dedicated to the regions. Europe had pride of place in the third, given the status of Brussels as European Capital and the Belgian Presidency of the European Union at that time.
Conix Architects represented the World Expo’s theme, “Better City, Better Life”, with a pavilion constructed in pure lines and recycled materials.
Inside, the “Brain Cell” (neuron), in memory of the enlarged atom offered up in the 1958 Expo, was there to express the importance of science, art, communication and the complex, globalised aspect of the world.
