Texto de origem - inglês Market practice is a familiar argument raised during deal negotiations. It can set a framework for negotiations, particularly when no party has a strong commercial position on the issue. What is regarded as market practice in one country or region will not necessarily be market practice in another.
During the first half of 2011 we conducted a survey of certain of the English law joint ventures we advised on over the past four years (covering different periods in the CIS and global economy). The results show the negotiated positions in Russia on key issues such as structure, exit, management provisions, reserved matters, deadlocks and material breach and share transfer provisions.
1. Structure
The structure of a deal is critical to ensure parties have the right level of protection. This is especially true for shareholders arrangements. Key areas to consider on structure include:
(i) Parties - The key operating companies and the offshore holding companies were parties to the shareholders agreement in up to 25% and 74% of investments respectively. Including these parties should give shareholders directly enforceable rights against the operating assets as well as other shareholders.
(ii) Business objectives - Agreeing a business plan for the operation of the business significantly reduces disputes between the parties and can provide a framework for the business to continue to operate during a dispute (40%-76% of deals incorporated a business plan).
(iii) Financing - More parties are specifying how the joint venture will be financed (increasing from 34% to 71% of deals between 2007 and 2011), with more investors required to finance the underlying business (increasing from 34% of deals in 2007 to 57% in 2010-11). Recently, less deals envisaged third party debt.
(iv) Dividends - There has been a year-on-year increase in shareholders requiring minimum dividends to be paid to them (from 29% to 43% of deals between 2007 and 2011). The range of minimum dividend is 10% to 100% of profit.
(v) Non-compete - In 28% to 57% of deals there was a non-compete on the shareholders. In deals with a non-compete, 10% to 52% of the non-compete obligations extended past the termination of the joint venture in order to protect the value of the joint venture business. The period ranged from 1 to 3 years after termination.
