uzavřena v souladu s ustanovením § 2332 a násl. zákona č. 89/2012 Sb.,
občanský zákoník v platném znění

I.
Předmět smlouvy
1. Propachtovatel prohlašuje, že je výlučným vlastníkem lisu KraussMaffei 150-520
C2+, rok výroby 2000, rok pořízení 2014, včetně příslušenství a součástí viz příloha č.
1 této smlouvy (dále jen „lis") a technická dokumentace. Dále propachtovatel
prohlašuje, že předmětem jeho podnikání je mj. i pronájem a půjčování věcí movitých.
2. Propachtovatel prohlašuje, že lis je způsobilý bezpečného provozu, že je v dobrém
technickém a provozním stavu, nejsou na něm žádné skutkové ani právní vady,
zejména na něm neváznou žádná břemena, dluhy nebo zástavní práva ve prospěch třetí
osoby.
3. Pachtýř prohlašuje, že předmět pachtu a jeho stav je mu znám a že se seznámil s jeho
obsluhou a údržbou.
4. Propachtovatel touto smlouvou přenechává pachtýři k dočasnému užívání a používání
lis, za podmínek, sjednaných v této smlouvě nebo vyplývajících pro smluvní strany
z obecně závazných právních předpisů. Pachtýři nevzniká za podmínek ve smlouvě
uvedených právo ani povinnost uvedený lis od propachtovatele koupit. Pachtýř
předmět pachtu od propachtovatele přijímá, zavazuje se jej užívat ve své hospodářské
činnosti obvyklým způsobem a v souladu s jeho technickým určením a zavazuje se
platit propachtovateli pachtovné.
II.
Doba pachtu
1. Pachtovní poměr se sjednává na dobu určitou od 1. 1O. 2014, která je vázána na dobu
trvání výroby hlavního světlometu na projekt BMW F20 LCI včetně doby nezbytné
pro industrializaci tohoto projektu a jeho zavedení do sériové výroby. Doba pachtu je
stanovena od 1.10.014 do 31.7.2019
III.
Podmínky pachtu
1. Pachtýř potvrzuje, že lis převezme k datu účinnosti této smlouvy od propachtovatele, o
předání a převzetí lisu sepíší a podepíší obě smluvní strany předávací protokol, který
bude přílohou č. 2 této smlouvy.
2. Propachtovatel je povinen lis pachtýři k datu účinnosti smlouvy předat, a to na výše
uvedené adrese pachtýře.
3. Místem výkonu pachtu je výše uvedená adresa pachtýře.
4. Pachtýř není oprávněn přenechat propachtovanou věc během pachtovního poměru
k užití jinému.
5. Pachtýř smí provádět změny na propachtované věci jen se souhlasem propachtovatele.
6. Běžné opravy a údržbu provádí pachtýř na své náklady.
7. Pojištění lisu hradí propachtovatel.
8. Pachtýř odpovídá propachtovateli za ztrátu, zničení, poškození propachtované věci,
dále je povinen propachtovateli oznámit vznik každé škody, poruchu či jiný
nedostatek pachtované věci, který nelze odstranit v rámci běžné údržby a to ve lhůtě
do 24 hodin poté, co rozhodná událost nastala či mohla být pachtýřem zjištěna.
9. Pachtýř pečuje o propachtovanou věc jako řádný hospodář.
1O. Výdaje spojené s provozem lisu, včetně revizí a kontrol, údržby a běžných oprav
spotřebního materiálu atp. nese pachtýř a má právo je uplatnit ve svém účetnictví.
11. Propachtovatel je oprávněn požadovat přístup k předmětu pachtu za účelem kontroly
stavu a užívání věci.
IV.
Pachtovné
1. Pachtýř je povinen platit propachtovateli pachtovné ve výši 2.170,- € (slovy: dva tisíce
sto sedmdesát Euro) bez DPH za každý kalendářní měsíc trvání pachtovního vztahu.
2. Pachtovné se platí na základě daňového dokladu (faktury) propachtovatele
vystaveného do 5 pracovních dnů po uplynutí příslušného kalendářního měsíce,
splatnost faktury činí 60 dní od doručení.
3. Pro účely daňové se za den zdanitelného plnění považuje poslední den kalendářního
měsíce.

Skončení pachtu
Pacht končí zejména:
a) dohodou smluvních stran
b) zničením pachtované věci
c) uplynutím sjednané doby
d) výpovědí
VI.
Závěrečná ustanovení
1. Změny nebo doplňky této smlouvy lze činit písemnými dodatky podepsanými oběma
stranami.
2. Hovoří-li se v této smlouvě o písemné formě úkonu, je tato dodržena i tehdy, byl-li
proveden elektronickou poštou (e-mailem) na níže uvedené e-mailové adresy:
3. Je-li nebo stane-li se některé ustanovení této smlouvy neplatným nebo neúčinným,
nedotýká se to platnosti a účinnosti ostatních ustanovení smlouvy.
4. Případné majetkové spory vzniklé z této smlouvy nebo v přímé souvislosti s ní budou
rozhodnuty podle zák. č. 216/1994 Sb. v rozhodčím řízení rozhodcem Asociace
rozhodců ČR p. JUDr. Ondřejem Michnou, MBA., LL.A. se sídlem v Novém Jičíně,
Myslbekova 11; rozhodčí řízení proběhne v písemné formě.
5. Tato smlouva nabývá platnosti a účinnosti dnem podpisu smluvními stranami.
6. Přílohou č. 1 smlouvy je seznam příslušenství, součástí a vybavení lisu, přílohou č. 2
je předávací protokol o předání a převzetí lisu.
7. Tato smlouva byla sepsána, přečtena a na souhlas podepsána mu oprávněnými
zástupci smluvních stran v Mohelnici dne 5. 9. 2014 ve dvou v ' ·scích s platností
originálu takto:

I
Object of the agreement
1. The Lessor herein declares that they are the exclusive owner of the press machine
KraussMaffei 150-520 C2+, year of manufacture 2000, the year of acquisition in 2014,
including accessories and parts, see the Appendix No.1 thereof (hereinafter referred to as
“the press machine”) and technical documentation. Furthermore the Lessor declares that
their scope of business, among other things, is lease and rental of movable properties.
2. The Lessor herein declares that the press machine is operational in accordance with safety
regulations, that the press machine is in good technical and operational condition, that
there are no factual and/or legal defects, mainly burdens and easements, debts or rights of
lien in favour of third parties on this press machine.
3. The Lessee herein declares that they are aware of the condition of the machine and that
they are informed about the operation and maintenance of the press machine.
4. The Lessor herein cedes the press machine to the Lessee for temporary use, under
conditions agreed herein or arising out of generally binding legal regulations for both
contractual parties. Under the conditions herein the Lessee is not legally bound to
purchase or legally entitled to buy the press machine from the Lessor. The Lessee accepts
the press machine from the Lessor and herein commits to operate the press machine in
conventional manner and in accordance with the technical specification of the press
machine, and commits to pay the rent.
II
Lease period
1. The Commercial lease is agreed for a fixed period from 1st October 2014, and is bound
by the production of the main headlamp for the project BMW F20 LCI including the
necessary time period
for industrialization of the project and introduction of serial production. The Lease
period is agreed from 1st October 2014 to 31st July 2019.
III
Lease conditions
1. The Lessee agrees to accept the press machine from the Lessor on the date of the
effective date of this agreement, both contractual parties agree to conclude and
sign a delivery protocol, which shall be the Annex 2 of this agreement.
2. The Lessor is obliged to deliver the press machine to the registered address of the
Lessee hereinbefore on the effective date of this agreement.
3. The place of performance of this commercial lease is the registered address of the
Lessee hereinbefore.
4. The Lessee is not entitled to assign the object of this commercial lease to any
third parties during the term of this agreement.
5. The Lessee is entitled to make changes on the object of this commercial lease only
with the consent of the Lessor.
6. Routine repairs and maintenance of the press machine shall be performed by the
Lessee at the expense of the Lessee.
7. The insurance of the press machine shall be paid by the Lessor.
8. The Lessee is liable for loss, destruction, damage of the object of this commercial
lease, furthermore the Lessee is obliged to inform the Lessor about any damage,
malfunction or any other failure which is not possible to remove during the
routine maintenance within 24 hours after occurrence or discovering of such
malfunction of the object of this commercial lease.
9. The lessee shall take care of the object of this commercial agreement with due
diligence.
10. The costs associated with operation of the press machine including costs of
revisions and controls, costs of maintenance and routine repairs, costs of supply
material, etc., shall be paid by the Lessee and the Lessee is entitled to account for
such costs in their accounting.
11. The Lessor is entitled to demand access to the object of this commercial lease in
order to control the condition and use of the object thereof.
IV
Rent
1. The Lessee shall pay to the Lessor the rent in the amount of 2,170 € (in words:
two thousand one hundred and seventy Euro) without VAT for every calendar
month of the lease term.
2. The rent shall be paid on the basis of a tax document (invoice) issued by the
Lessor within 5 working days after the current calendar month, the maturity of
the invoice is 60 days after delivery.
3. For tax purposes, the date of the taxable supply is considered the last day of the
calendar month.
V
Lease termination
The lease is terminated:
a) By the agreement of the contractual parties
b) By the destruction of the object of the commercial lease
c) On the termination date
d) By notice of termination
VI
Final provisions
1. This agreement may be amended or changed only in writing and such
amendments shall be signed by both contractual parties.
2. Should this agreement require a written form of a legal act, this requirement shall
be met when this legal act is performed via electronic mail sent to the electronic
addresses hereunder.
3. Should any provision of this Agreement be or become invalid or unenforceable,
this shall not affect the validity of the remaining provisions of this agreement.
4. Any property disputed arising from this agreement or directly associated with this
agreement shall be governed by the Act. no. 216/1994 Coll. in arbitration
proceeding by arbiter JUDr. Ondřej Michna, MBA, LL.A., member of Asociace
Rozhodců ČR, with registered address Nový Jičín, Myslbekova 11, this
arbitration shall be performed in written form.
5. This agreement comes into force upon signature by both contractual parties.
6. The Annex 1 thereof is the list of accessories and parts of equipment of the press
machine; Annex 2 is the delivery protocol of the press machine.
7. This agreement was concluded, read and signed by authorized representatives of
both contractual parties in Mohelnice on 5th September and is in two copies as
originals.
