CONTRATO PROMESSA DE HIPOTECA E
CONSIGNAÇÃO DE RENDIMENTOS
PRIMEIRO CONTRAENTE – [•] o qual outorga na qualidade de mandatário do BANCO [•], com sede em [•], na morada acima indicada, Empresário Comercial, pessoa colectiva n° [•] (so) (doravante referido apenas como o Banco).
SEGUNDOS CONTRAENTES – [•], os quais outorgam na qualidade de Administradores da sociedade anónima de responsabilidade limitada denominada [•], com sede em [•], Empresário Comercial, pessoa colectiva n° [•] (so) (doravante referido apenas como [•]).
DECLARARAM TODOS OS CONTRAENTES, NAS RESPECTIVAS QUALIDADES:
- Que em caução e garantia:

ARTIGO PRIMEIRO
A hipoteca e consignação de rendimentos ora prometidas constituir destinar-se-ão a garantir ao Banco o pagamento de todas e quaisquer importâncias, até ao limite máximo do capital a fixar na escritura definitiva ou o seu contravalor em qualquer outra moeda ou divisa, pela qual a [•], seja ou venha a tornar-se responsável perante o Banco, por virtude de quaisquer operações bancárias, de financiamento dos custos de aproveitamento do imóvel, qualquer que seja a sua natureza ou título, designadamente como sacadora, aceitante ou subscritora de letras, livranças, aceites, fianças ou devedora de saldos correntes, empréstimos, créditos documentários, abonos, adiantamentos, saques a descoberto ou outras modalidades de financiamento bancário.
ARTIGO SEGUNDO
Um. A hipoteca e a consignação de rendimentos a constituir, abrangerão também todas as construções, acessões e benfeitorias, presentes e futuras, implantadas ou a implantar no imóvel supra identificado, com a máxima amplitude legal e por tempo indeterminado e subsistirá enquanto se mantiverem quaisquer obrigações ou responsabilidades da [•] para com o Banco, nos termos do Contrato de Empréstimo celebrado em [•].
Dois. A hipoteca e a consignação de rendimentos são independentes e adicionais a quaisquer outras garantias, pelo que o Banco poderá accionar uma ou outra, simultânea ou sucessivamente, sem qualquer ordem de precedência.
ARTIGO TERCEIRO
A [•] obrigar-se-á a manter ou a constituir um seguro de incêndio sobre o imóvel hipotecado contra risco de incêndio pelo valor não inferior a [•]% do valor de substituição do imóvel hipotecado, em companhia de reconhecido crédito, aceite pelo Banco, devendo as apólices serem endossadas a favor do Banco que as conservará em seu poder.
ARTIGO QUARTO
Um. O Banco poderá considerar imediatamente vencidas e exigíveis todas as obrigações ou responsabilidades garantidas e, sem necessidade de aviso, executar a hipoteca e consignação de rendimentos quando vencida e não paga qualquer delas e não haja prorrogação, renovação, reforma ou substituição permitidas pelo Banco ou sempre que a [•] deixe de cumprir pontual e integralmente qualquer obrigação assumida para com o Banco, nomeadamente, quando não forem satisfeitas quaisquer amortizações de capital e juros nas datas previstas no Contrato de Empréstimo, caso em que a falta de pagamento de uma delas importa o vencimento imediato de todas.
Dois. O Banco poderá considerar também imediatamente vencidas e exigíveis todas as obrigações ou responsabilidades que a hipoteca e a consignação de rendimentos asseguram, no caso de o imóvel hipotecado vir a ser objecto de transmissão, a título gratuito ou oneroso ou de oneração, sem autorização prévia do Banco, ou a ser objecto de execução, arresto, penhora, ou qualquer forma de apreensão judicial.
ARTIGO QUINTO
A hipoteca e consignação de rendimentos ora prometidas constituir garantem também as despesas que o Banco tiver que fazer por virtude do presente contrato promessa, bem como com a escritura definitiva, designadamente com a avaliação do imóvel e encargos com a escritura e respectivo registo.
ARTIGO SEXTO
Os termos e condições do crédito garantido poderão ser alterados por mero escrito particular, e os documentos, sejam de que natureza forem, que se encontrem em conexão com o presente contrato promessa, ou justificativos das responsabilidades garantidas pela hipoteca e consignação de rendimentos, designadamente o Contrato de Empréstimo acima referido, bem como os documentos emitidos ao abrigo do mesmo, serão considerados como documentos referidos a este contrato e dele ficarão a fazer parte integrante para os efeitos do disposto no art° 681° do Código de Processo Civil.
ARTIGO SÉTIMO
A [•] promete consignar ainda a favor do Banco todos os rendimentos produzidos pelo imóvel ora dado em garantia, nomeadamente rendas, até ao cancelamento da hipoteca e da consignação de rendimentos, dados em para garantia do capital e juros supra referidos.
Parágrafo Um - A [•] obriga-se à consignação de rendimentos ainda que o imóvel passe à posse de terceiros a título de arrendamento ou de promessa de compra e venda.
Parágrafo Dois - Os rendimentos produzidos pelo imóvel hipotecado deverá ser depositado pela [•] numa conta bancária junto do Banco.
ARTIGO OITAVO
O Banco pode exigir o vencimento antecipado de todas as obrigações da [•], quando a lei o permita ou ocorra um dos seguintes eventos:
a) incumprimento pela [•] dos termos e condições da carta de concessão de créditos.
b) falta de pagamento de juros vencidos;
c) mora no cumprimento dos prazos de reembolso do capital devido.
ARTIGO OITAVO
Um - Será ainda considerado como incumprimento qualquer ocorrência de qualquer facto que, na opinião do Banco, afecte seriamente a situação financeira ou económica da [•].
Dois - Em caso de incumprimento de quaisquer obrigações assumidas ou a assumir pela [•], o Banco tem o direito de exigir o reembolso de tudo o que lhe for devido, designadamente, do capital, juros e quaisquer encargos ou despesas em dívida, podendo, a partir desse momento, executar, simultânea ou sucessivamente, as garantias prestadas, sem qualquer ordem de precedência.
ARTIGO NONO
A lei aplicável ao presente contrato e a escritura definitiva a assinar é a lei vigente na RAEM e para as questões dele emergentes fica estipulado o foro da RAEM, com expressa renúncia de qualquer outra jurisdição.
ARTIGO DÉCIMO
As partes contraentes convencionam expressamente que a escritura definitiva será assinada no prazo de [•] dias a contar da comunicação ao Banco do registo do imóvel junto da Conservatória do Registo Predial, comprometendo-se a [•] a facultar ao Banco cópia do despacho da concessão publicada no boletim Oficial bem como o comprovativo do registo efectuado.

MORTGAGE AND ASSIGNMENT OF ALL RECEIVABLES PROMISSORY AGREEMENT
FIRST PARTY – [•] signing in the capacity of attorney-in-fact of BANK [•], having its registered office in [•], at the address indicated above, Commercial Enterprise, legal person No. [•](so) (hereinafter simply referred to as the "Bank").
SECOND PARTIES – [•], signing in the capacity of Directors of the limited liability public company [•], having its registered office in, Commercial Enterprise, legal person No. [•](so) (hereinafter simply referred to as [•]).
THE PARTIES DO DECLARE, IN THEIR RESPECTIVE CAPACITIES:
- That as collateral security:
a) for any and all debts, liabilities or obligations, present and future, of whatsoever origin, nature, currency or title, up to the amount in principal of HK$[•] ([•]), equivalent to MOP [•] for tax purposes, that [•] has or may come to have with the Bank, namely, those arising from the loan it received from a syndicate of banks specifically arranged for that purpose and whose Agent is the Bank, under the terms of the facility agreement executed on [•] between the Bank, [•]and the remaining entities identified thereunder (hereinafter the "Facility Agreement");
b) for the respective interest agreed to in the abovementioned Facility Agreement, computed at the rate of, for registration purposes only, [•]% per annum (equivalent to HIBOR plus [•]) accruing at [•]% upon default;
and
c) for all expenses and fees, judicial and extrajudicial, which may be incurred by the Bank in securing its rights or recovering the loan, including attorney's fees, which are set at, for registration purposes only, MOP[•], the herein [•]undertakes to execute a first mortgage as well as an assignment of all receivables in favour of the Bank, that accepts, over:
(to be identified) Lot located at [•], where the hotel complex, named [•], has been built, presently excluded from the cadastral map by virtue of its nature and also unregistered in the Land Registry Office, hereinafter the property.
The Lot in question shall be object of a Government land lease grant in favour of [•], whose terms and conditions shall be set out in the respective lease grant order. Under the provisions of the Land Law in force, the term of the lease shall be for [•] years, starting from the date of publication of the lease grant order in the Official Gazette and renewable for a term of [•] years.
The pledged mortgage and assignment of all receivables shall be subject to the following terms:
ARTICLE FIRST
The mortgage and assignment of all receivables pledged hereunder shall be used as collateral by the Bank for payment of any and all monies, up to the maximum limit of the principal amount to be set out in the final deed or its equivalent in any other currency or legal tender, that [•]is or may come to be liable for before the Bank, by virtue of any banking operation, of whatsoever nature or title, for financing the development costs of the property, namely as drawer, acceptor or endorser of bills, notes, acceptances, securities or debtor of current balances, loans, documentary credits, warranties, advances, overdrafts or other forms of bank financing.
ARTICLE SECOND
One. The mortgage and assignment of all receivables to be executed shall also include all construction, accession and improvement, present and future, made or which may be made on the property above identified, to the maximum legal extent and for indefinite term and shall remain in full force and effect for so long as any obligations or liabilities of [•]to the Bank shall remain outstanding, under the terms of the Facility Agreement executed on [•].
Two. The mortgage and assignment of all receivables are independent of and supplementary to any other securities, whereby the Bank may execute one or another, simultaneously or in succession, without following any particular rank.
ARTICLE THIRD
[•]shall undertake to insure the mortgaged property against loss by fire for an amount not less than [•]% of the replacement cost of the mortgaged property, with an insurer of recognized reputation, accepted by the Bank, and the policies shall be endorsed to the Bank, who shall keep them in its possession.
ARTICLE FOURTH
One. The Bank shall be entitled to immediately consider all obligations or liabilities due and in arrears and execute, without further notice to the company, the mortgage and assignment of all receivables whenever any one of them is due and in arrears and mortgage postponement, renewal, restructuring or substitution is not authorized by the Bank or whenever [•]does not fully and completely comply on the due date with any of its obligations to the Bank, namely, whenever any payment of the principal and interest is not paid on the dates set forth in the Facility Agreement, whereupon all others shall immediately mature and become due and owing.
Two. The Bank shall also be entitled to immediately consider due and in arrears all obligations or liabilities secured by the mortgage and assignment of all receivables in the event of the mortgaged property becoming subject to transfer, free of charge or against payment, or to any encumbrance, without the prior authorization of the Bank, or becoming subject to execution, attachment, lien, or any other form of judicial seizure.
ARTICLE FIFTH
The mortgage and assignment of all receivables pledged hereunder shall also secure expenses to be incurred by the Bank with this note, as well as with the final deed, namely for property valuation and costs with the deed and respective registration.
ARTICLE SIXTH
The terms and conditions of the secured debt may be changed by means of a private deed and the documents, of whatsoever nature, related with this note, or explanatory of the liabilities secured by the mortgage and assignment of all receivables, namely the Facility Agreement above referred, as well as the documents issued under the provisions thereunder, shall be considered as referring to this contract and shall be an integral part hereto for the effects of the provisions of Article 681 of the Code of Civil Procedure.
ARTICLE SEVENTH
[•]undertakes to assign in favour of the Bank all receivables yielded by the property herein pledged, namely rents, until the discharge of the mortgage and assignment of all receivables pledged as collateral for the principal and interest above referred.
Paragraph One – [•]undertakes to assign receivables even if the property shall become held by third parties by means of a lease or sales and purchase agreement.
Paragraph Two – Receivables yielded by the mortgaged property shall be deposited by [•]in a bank account of the Bank.
ARTICLE EIGHTH
The Bank shall be entitled to demand early payment of all obligations of [•] when the law allows it or upon the following events of default:
a) non-performance of the terms and conditions of the loan agreement by [•].
b) default on payment of overdue interest.
c) default on repayment of the principal on the due dates.
ARTICLE NINTH
One – Any act that, in the opinion of the Bank, seriously affects the financial or economic situation of [•]shall also be considered as an event of default.
Two – In an event of default for any of the obligations undertaken or to be undertaken by [•], the Bank shall be entitled to demand payment of all monies due to it, namely, the principal, interest and any other costs or expenses due, and shall thenceforth be entitled to execute the securities, simultaneously or in succession, without following any particular rank.
ARTICLE TENTH
This agreement and the final deed to be executed shall be governed by the laws of MSAR and the jurisdiction of MSAR is hereby chosen to settle any dispute arising herefrom and any other jurisdiction shall be expressly rejected.
ARTICLE ELEVENTH
The parties expressly agree that the final deed shall be executed within [•] days from notification of the Bank of the registration of the property at the Land Registry Office, and [•]undertakes to provide a copy of the lease grant order published in the Official Gazette as well as proof of the said registration.
